Under the proposed Arrangement, each shareholder of High Arctic will receive one-quarter of one (1/4) common share of SpinCo and one-quarter of one (1/4) common share of post-Arrangement High Arctic for each common share of High Arctic held. The Arrangement will transfer High Arctic's PNG business to a separate, dedicated, and independent, publicly traded company named, High Arctic Overseas Holdings Corp., while High Arctic will continue to own and operate the Corporation's existing North American Business. Each of the two companies will have its own management and operational teams and separate Board of Directors. Transaction is subject to Court and High Artic Shareholders approval. High Arctic Energy Services board has unanimously approved the transaction. The shareholders meeting is expected to be held on June 17, 2024. As of June 18, 2024, the shareholders approved the transaction on June 17, 2024. The Corporation will apply for a final order approving the Arrangement from the Alberta Court of King’s Bench on June 27, 2024. As of June 28, 2024, Court of King's Bench of Alberta has granted the final order. As of July 31, 2024, the arrangement is still awaiting TSX Venture exchange approval. As of August 2, 2024, TSX Venture Exchange has conditionally approved the listing on the TSXV of the common shares, the transaction is now expected to be completed on August 9, 2024. KPMG LLP acted as an accountant, Odyssey Trust Company acted as a transfer agent, Lightyear Capital Inc., provided the fairness opinion and acted as a financial advisor to High Arctic Energy Services. High Arctic Energy Services Inc completed the Spin-Off of High Arctic Overseas Holdings Corp. on August 12, 2024.
