Gulf Keystone Petroleum Limited Announces Directorate Appointments, Effective 1 October 2024 Gulf Keystone announced the appointment of two independent Non-Executive Directors, Catherine Krajicek and Marianne Daryabegui, with effect from 1 October 2024. Catherine Krajicek started her career with Conoco as an associate engineer and remained with the company for a total of 22 years progressing through a variety of oil and gas technical and subsequently asset management roles in both the US and Indonesia. In 2007, Catherine left ConocoPhillips and joined Marathon Oil where she went on to hold a number of senior executive roles before retiring from Marathon in 2018. From July 2019 to June 2023 she served as a Non-Executive Director on the Board of Cairn Energy plc. Catherine holds a BSc and MSc in Petroleum Engineering from the Colorado School of Mines. Marianne Daryabegui is an experienced capital markets adviser who has focused on oil and gas throughout her career, firstly in-house at Total, then in the banking sector at BNP Paribas and Natixis, where she advised multiple oil and gas companies. At Natixis, Marianne co-led the M&A Energy and Natural Resources practice. She was also formerly Head of Natural Resources at BNP Paribas. In 2021, Marianne was appointed as Chief Financial Officer of Lithium de France and is currently Head of M&A and capital market operations at the Arverne Group. Marianne is a Non-Executive Director on the Board of EnQuest plc and was previously a Non-Executive Director on the Board of Pharos plc. Gulf Keystone Petroleum Limited (LSE:GKP) commences share repurchases on May 16, 2024, under the program mandated by the shareholders in the Annual General Meeting held on June 16, 2023. As per the mandate, the company is authorized to repurchase up to 22,244,365 shares, representing 10% of its issued share capital. The minimum price, exclusive of expenses, which may be paid, is the nominal value per share. The maximum price which may be paid for any such ordinary share is the higher of 5% above the average of the middle market quotations for the ordinary shares in the company as derived from the London Stock Exchange Daily Official List for the 5 business days immediately preceding the date on which such ordinary shares are contracted to be purchased and the higher of the price of the last independent trade and the highest current independent bid on the London Stock Exchange Daily Official List at the time the purchase is carried out. The repurchased shares will be held as treasury shares. The plan will be valid up to the conclusion of the next Annual General Meeting of the company in 2024. As on May 18, 2023, the company had 222,443,655 shares in issue and no shares in its treasury.
On May 13, 2024, the company announced a share repurchase program. Under the program, the company will repurchase up to $10 million worth of its shares pursuant to the contract with Peel Hunt LLP and Canaccord Genuity Limited. Gulf Keystone Petroleum Limited Announces Update on Shaikan Field Exports Gulf Keystone Petroleum Limited announced that it received notification that the export pipeline to Ceyhan and operations at the Ceyhan terminal have been temporarily suspended pending inspection to assess any potential impact from the earthquakes in Turkey February 6, 2023. GKP’s production facilities and well sites have not been damaged by the earthquakes and all staff continue to work safely. The facilities have storage capacity that allow continued production at a curtailed rate over the next few days after which the Company would suspend production until pipeline export operations resume. GKP’s thoughts are with all those affected by the tragedy.
