bleuacacia to Redeem All of the Outstanding Ordinary Shares, Effective November 22, 2024 and to File Form 15 with the SEC to Terminate the Registration of its Securities bleuacacia ltd (the ‘Company’) announced that, due to its inability to complete an initial business combination within the time period required by its amended and restated memorandum and articles of association, as amended, the Company intends to liquidate and dissolve, effective as of the close of business on November 22, 2024, and will redeem all of the outstanding ordinary shares that were included in the units issued to public shareholders in its initial public offering (the ‘Public Shares’), at a per-share redemption price of approximately $11.10 (after the removal of a portion of the accrued interest in the trust account to pay taxes and up to $100,000 of dissolution expense). As of the close of business on November 22, 2024, the Public Shares will be deemed cancelled and will represent only the right to receive the redemption amount. In order to provide for the disbursement of funds from the trust account, the Company will instruct the trustee of the trust account to take all necessary actions to liquidate the trust account. The proceeds of the trust account will be held in a non-interest bearing account while awaiting disbursement to the holders of the Public Shares. Record holders will receive their pro rata portion of the proceeds of the trust account by delivering their Public Shares to Continental Stock Transfer & Trust Company, the Company’s transfer agent. Beneficial owners of Public Shares held in ‘street name,’ however, will not need to take any action in order to receive the redemption amount. The redemption of the Public Shares is expected to be completed within ten business days after November 22, 2024. The Company’s holders of founder shares have agreed to waive their redemption rights with respect to such shares. There will be no redemption rights or liquidating distributions with respect to the Company’s warrants and rights, which will expire worthless. bleuacacia Receives Notice of Deficiency from Nasdaq bleuacacia ltd announced that on September 6, 2024, it received a notice (the Notice) from the Listing Qualifications department of The Nasdaq Stock Market LLC that the Company no longer complies with Nasdaq Listing Rule 5250(c)(1), which requires companies with securities listed on Nasdaq to timely file all required periodic reports with the U.S. Securities and Exchange Commission (the SEC). bleuacacia to Transfer the Listing of Its Securities from the Nasdaq Global Market to the Nasdaq Capital Market On January 8, 2024, bleuacacia ltd (the “Company”) received notice from the Listing Qualifications department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) approving the Company’s application to transfer the listing of its securities from The Nasdaq Global Market to The Nasdaq Capital Market. The Company’s securities will be transferred to The Nasdaq Capital Market at the open of business on January 11, 2024. The Company’s securities—i.e., its common stock, units, rights and warrants—will continue to trade under the symbols “BLEU,” “BLEUU,” “BLEUR” and “BLEUW,” respectively, which trading will be unaffected by the transfer. The Nasdaq Capital Market operates in substantially the same manner as the Nasdaq Global Market. Bleuacacia Provides Non-Compliance Update As previously disclosed in the Current Report on Form 8-K filed with the SEC on July 10, 2023 (the “Initial Deficiency 8-K”), bleuacacia ltd had received written notice dated July 5, 2023 from the Listing Qualifications department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) that it was not then in compliance with a continued listing requirement to maintain a minimum Market Value of Listed Securities of $50,000,000, as set in Nasdaq Listing Rule 5450(b)(2)(A) and, subject to the Staff’s determination of the Company’s ability to cure such deficiency—either by regaining compliance or by transferring its listed securities to the Nasdaq Capital Market (the “Capital Market”)—within the 180 calendar day compliance period as set in Nasdaq Listing Rule 5810(c)(3)(C), its listed securities may be subject to delisting following receipt of an additional written notice to such effect issued by the Staff, appealable by the Company to Nasdaq’s Hearings Panel. bleuacacia Receives Written Notice from Nasdaq Regarding Minimum Market Value of Listed Securities On July 5, 2023, bleuacacia ltd (the Company") received written notice from the Listing Qualifications department (the Staff") of The Nasdaq Stock Market LLC (Nasdaq") that the Company was not in compliance with the continued listing requirement to maintain a minimum Market Value of Listed Securities (MVLS") of $50,000,000, as set in Nasdaq Listing Rule 5450(b)(2)(A). In accordance with Nasdaq Listing Rule 5810(c)(3)(C), the Company has a period of 180 calendar days, or until January 2, 2024, to regain compliance with the minimum MVLS requirement. To regain compliance, the Company's MVLS must close at $50,000,000 or more for a minimum of ten consecutive business days during this 180 calendar day compliance period.
