PEP advisory services Pty Limited completed the acquisition of Johns Lyng Group Limited (ASX:JLG) from Scott Didier and others. PEP advisory services Pty Limited signed a non-binding indicative offer proposal to acquire Johns Lyng Group Limited (ASX:JLG) from Scott Didier and others for AUD 1.1 billion on May 16, 2025. PEP advisory services Pty Limited has entered into a Scheme Implementation deed to acquire Johns Lyng Group Limited on July 11, 2025. The transaction is subject to approval by regulatory board / committee, approval of merger agreement by target board, consummation of due diligence investigation and subject to court approval, approval of offer by shareholders of Johns Lyng Group Limited, which is expected to take place on October 8, 2025. The Board of Directors of Johns Lyng Group Limited formed a special committee for the transaction and unanimously recommends voting in the favor of the scheme. As of October 8, 2025, the deal has been approved by the shareholders of Johns Lyng Group Limited. The deal is expected to complete on October 23, 2025.

Kroll, LLC acted as fairness opinion provider to Johns Lyng Group Limited.
PEP advisory services Pty Limited completed the acquisition of Johns Lyng Group Limited (ASX:JLG) from Scott Didier and others on October 23, 2025. Each non-executive director of JLG, being Peter Nash, Larisa Moran, Peter Dixon, Alexander Silver and Alison Terry, have resigned as directors of JLG with effect from Implementation of the Scheme. Scott Didier and Nick Carnell will remain as directors of JLG. In addition, Matthew Lunn has been appointed as a director of JLG. As previously announced, trading in JLG Shares was suspended from the close of trading on October 14, 2025. JLG has applied for its removal from quotation on the official list of ASX with effect on and from close of trading on October 24, 2025. Johns Lyng Group Limited Announces Board and Committee Changes, Effective April 1, 2025 The Board of Johns Lyng Group Limited announced that Non-Executive Director, Curt Mudd, will be retiring from the Board effective from April 1, 2025. Mr. Mudd has served on the Board since 28 September 2017, first as an Executive Director before being appointed as a Non-Executive Director on 1 December 2018, and has served as Chair of the Nomination & Remuneration Committee. Johns Lyng Group Limited Announces Board Changes The Board of Johns Lyng Group Limited announced that Non-Executive Director Robert Kelly AM and Executive Director Adrian Gleeson will be retiring from the Board effective 27 September 2024.
