Rentokil Initial plc Announces Formalization of its Divisional Operating Structure Rentokil Initial plc announced formalization of its divisional operating structure to support the delivery of the Company's strategic priorities - to intensify customer focus, deliver sales and operational excellence, and simplify the business. To support the delivery of its strategic priorities, the Company is formalising its structure into two operating Divisions: North America and International. The International Division will comprise Europe, UK, Ireland & Sub-Saharan Africa, Asia & MENAT, Latin America and Pacific. This builds upon the current financial reporting structure and creates clearer accountability for performance and execution across the Group, while enabling faster adoption of best practices in customer experience, sales effectiveness and operational delivery. Rentokil Initial plc Announces Executive Appointments Rentokil Initial plc announced that to support the delivery of its strategic priorities, the Company is formalising its structure into two operating Divisions: North America and International. The Company announced the appointment of Phill Wood as CEO of the newly formed International Division, with immediate effect 13 August 2026. Phill is a highly experienced operator who has been with Rentokil Initial since 2006 and has led businesses in Europe, the Caribbean, Africa and the UK. He has a proven track record of delivering growth and has a deep understanding of frontline pest control and hygiene operations. He has also led the Company's Marketing and Innovation function for the last 18 months making significant progress in prioritisation and delivery of innovation pipeline. This appointment is in addition to his current responsibilities leading the UK, Ireland and Sub-Saharan Africa region, which he has led since 2009. The company also announces the appointment of Matt Jochim as Group Chief Transformation Officer, effective 7 September 2026. He will join the Executive Leadership Team and report directly to the Chief Executive. Matt brings 30 years of experience leading large-scale business transformations across global multi-site businesses. He joins the Company from McKinsey (2006 - 2026), where he served as Partner and leader of the UK & Ireland Operations Practice, owning end-to-end operating transformations for major clients. Prior to McKinsey, Matt spent five years at The Home Depot (2001 - 2006), where he held senior store and supply chain operating roles and managed critical transformations across store operations and inventory management. Rentokil Initial plc Recommends Interim Dividend, to Be Paid on 21 September 2026 Rentokil Initial plc recommending an interim dividend of 4.48 cents per share, up 8.0% year-on-year, in line with the Company's progressive dividend policy. The dividend is first determined in US dollars and the sterling amount will be announced on 27 August 2026 using the average of the market exchange rates for the three working days commencing 24 August 2026, using the closing spot rate. He most recently served as President of WM Healthcare Solutions and Senior Vice President of Strategy at WM (previously known as Waste Management Inc.), where he oversaw multi-site operations with 200+ branches and over 10,000 corporate and field-based employees across the U.S., Canada, the U.K., Ireland and Western Europe. He is highly experienced at executing a recurring revenue model, serving commercial and residential customers. Professional Highlights: Extensive Operational Leadership: Rafa has held numerous senior leadership roles over a 10-year career at WM. Rentokil Initial plc Appoints Thérèse Esperdy as Chair of the Board Rentokil Initial plc announced the appointment of Thérèse Esperdy as Chair of the Board commencing September 1, 2026. She will join the Board as a Non-Executive Director and Chair-designate on July 1, 2026. This appointment follows the announcement on March 5, 2026 that Richard Solomons, who has served as the Chair of the Company since 2019, had informed the Board of his intention to retire from the Company. Thérèse is currently Non-Executive Chair of Imperial Brands plc, a position from which she will retire following their November 2026 Board meeting and Fiscal Year 2026 results announcement, having served on the Board since July 2016. She is also the Senior Independent Director designate of Smith & Nephew plc and a Non-Executive Director of Moody's Corporation. Thérèse was previously Senior Independent Director of National Grid plc. In her executive career, Thérèse held senior leadership roles with JP Morgan including Global Chair of their Financial Institutions Group, Co-head of Asia-Pacific Corporate & Investment Banking and Global Head of Debt Capital Markets. The Board determined that Thérèse Esperdy is an independent Non-Executive Director on appointment in accordance with the UK Corporate Governance Code.
