Vaudoise Asset Management S.A. entered into an agreement to acquire an additional 72.27% stake in Procimmo Group AG (BRSE:SEGN) for approximately CHF 310 million. Vaudoise Asset Management S.A. entered into an agreement to acquire an additional 72.27% stake in Procimmo Group AG (BRSE:SEGN) for approximately CHF 310 million on March 18, 2026. The sale price has been set at CHF 9.50 per share following payment of the 2025 ordinary dividend. Upon completion, Vaudoise Asset Management S.A. will own 92.27% stake in Procimmo Group AG. Vaudoise Assurance Group intends to eventually hold the entire share capital of Procimmo Group AG and expects to proceed, following the closing of the sale, with a squeeze-out merger under which the minority shareholders of Procimmo Group AG will receive an amount corresponding to the sale price in exchange for their shares.
Procimmo will be operated as an external real estate asset management platform under the current management team. The operating entities will be maintained and all employees retained.
The transaction is subject to regulatory approvals. The expected completion of the transaction is in early July 2026.
