Each Unit will be comprised of one common share and one-half of one common share purchase warrant. Each Warrant will entitle the holder thereof to acquire one additional Share at a price of CAD 0.40 per Warrant Share and will be exercisable for a period of 24 months from the date of issuance. The Offering is subject to approval of the Canadian Securities Exchange (the "CSE"), and all Units and securities of the Company issued pursuant to the Offering will be subject to a four month hold period from the date of issuance. The Offering will not result in the creation of a new insider or control person of the Company. The Company may pay finder's fees in connection with the Offering to eligible finders in accordance with policies of the CSE and applicable securities laws consisting of (i) a cash commission of up to 7% of the gross proceeds of the Offering, and (ii) a number of finders warrants ("Finders Warrants"), equal to up to 7% of the number of Units issued under the Offering with each Finders Warrant exercisable for one additional Unit of the Company for a period of 24 months at CAD 0.30 per Unit from the closing date of the Offering (the "Closing Date").
