The transaction was also to include the acquisition of Sumisho Osaka's subsidiary company Sutton and East Surrey Water plc and certain other ancillary businesses. As part of the agreement, Pennon is issuing new Ordinary Shares to raise up to £180 million in connection with the Acquisition. Following regulatory confirmation, Pennon intends to provide an equity injection to enhance SES Water’s financial resilience, bringing their gearing from 88% to within Pennon’s well-established water business gearing range of 55% to 65%, giving customers assurance that SES Water can invest sustainably over the long term in infrastructure and services. The Acquisition is being financed from existing cash and financial resources and the acquisition being partially funded by a contribution from Pennon’s shareholders through an equity raise, demonstrating their belief in the quality of the business. Proceeds from the equity capital raise will be used in connection with the acquisition to ensure that the enlarged Pennon Group remains within our well established water business gearing range of 55-65% following completion. As of March 31, 2023, Sumisho Osaka reported gross assets of approximately £610 million and Loss before tax of 31 million. The Acquisition will increase the size and scale of the Group to serve a total population of c.4.3 million and will deliver an estimated c.7% increase in RCV on acquisition, bringing total expected RCV growth for Pennon to 71% over K7. It also adds another 476 dedicated employees to the Group, enabling access to a new, wider and diverse talent pool in Southern England. Following regulatory approvals, SES Water’s employees will join Pennon Group, bringing their expertise and local knowledge with them to ensure that customers have continuity and confidence in the high quality, local service delivery that they are used to. The acquisition of SES Water is in addition to Pennon’s current water business expected investment of £850 million over 24 months.Completion of the acquisition, which is not subject to any conditions, has already occurred. The Acquisition is now subject to review by the Competition and Markets Authority, with input from Ofwat. In reviewing the Acquisition, the Board considered a range of factors including earnings accretion, value creation from the impact on shareholder returns and the impact on customers and other stakeholders. The Acquisition expected to increase the Group’s RCV by c.7% on acquisition, resulting in a total expected Group RCV of c.£5.8 billion by 2025. Consistent with Pennon’s successful track record of value creation through the realisation of synergies, a run rate of £11 million (p.a. is anticipated, enabling enhanced shareholder returns, driven by operational efficiency initiatives, lower financing costs and economies of scale. There is not expected to be any funding impact on Southwest Water’s plans to otherwise deliver a compelling AMP8 investment plan; nor will it impact SES Water’s ability to deliver the same. Bristol Water Holdings UK Limited had a Gross Assets of £709 million and Net Assets of £162 million as at March 31, 2021. As a result, they have recommended a final dividend of 19.43 pence per share for the year ended 31 March 2025. Together with the interim dividend of 12.14 pence per share paid on 4 April 2025 this gives a total dividend per share for the year of 31.57 pence. Proposed dividends per share for the 2024 comparative period have been restated and adjusted for the bonus factor of 1.21 to reflect the bonus element of the February 2025 rights issue, in accordance with IAS 33 Earnings per Share. Pennon offers shareholders the opportunity to invest their dividend in a Dividend Reinvestment Plan (DRIP). The proposed total dividend for 2024/25 is increased by 5.4% year on year to £133.7 million (2023/24: £126.9 million adjusted for £2.4 million fines). This reflects an increase in line with CPIH on the 2023/24 dividend adjusted to remove the £2.4 million one off deduction in respect of the fine from the Environmental Agency paid by SWW.

Sir Andrew brings extensive leadership experience from across the UK's transport and regulatory sectors, having most recently served as Chief Executive of Network Rail from 2018 to 2025. During his tenure at Network Rail, Sir Andrew led a major organisational restructure in preparation for the creation of Great British Railways and delivered a £4 billion efficiency programme. He has been instrumental in the successful and ongoing delivery of £10 billion of infrastructure investment between Manchester and York, and beyond. His career also includes serving as Chief Executive of the Civil Aviation Authority and holding senior roles in the rail industry, including Managing Director of South West Trains and the Rail Division of First Group plc. He was awarded an OBE in the 2016 New Year Honours and received a Knighthood in the 2025 Honours list for services to transport and the economy.

Prior to Affinity, Keith held senior executive roles at Northumbrian Water Group and United Utilities, where he led large-scale water and wastewater operations, overseeing multi-billion-pound asset portfolios and complex capital programmes. During his time at United Utilities, it achieved top-tier environmental performance, embedded data driven asset management, and transformed operational structures. Keith is a Chartered Civil Engineer and holds an MBA from Queen's University Belfast. Keith succeeds Susan Davy, who has served as Chief Executive of Pennon Group since 2020. Having worked for 18 years in the company and over 30 years in the water industry, Pennon Group announced in July this year that Susan has decided to retire from the Board.

Susan was appointed Chief Executive Officer on July 31, 2020, having served on the Board as Chief Financial Officer since 2015. After more than 18 years with the Group, and nearly 30 years in the water sector, Susan has decided that the time is right for her to hand over to a new leader. The Board will now conduct a formal process to appoint a successor. Susan will continue as Group Chief Executive during this time and will leave in due course, ensuring a smooth and orderly transition. Under Susan's leadership, Pennon has been reshaped around four strategic priorities. She led the acquisitions of Bournemouth Water, Bristol Water, and SES (Surrey and East Sutton) Water, as well as the successful Viridor sale for £4.2bn. In January, she announced Pennon's plans for a record £3.2 billion capital investment programme over the next five years. Susan has also been the architect of the Watershare+ scheme, giving customers a stake and a say in their local water company.

Steve will be succeeded by Laura Flowerdew, as the Board enacts its internal succession plan. Laura is Chief Customer and Digital Officer of Pennon Group and previously Chief Financial Officer at Bristol Water plc. This is effective July 11, 2024. Laura Flowerdew was appointed Chief Customer and Digital Officer of Pennon Group in September 2022. She was previously an executive director and Chief Financial Officer of Bristol Water plc from October 2018 including a period as Deputy CEO. Alongside her financial responsibilities her role also encompassed leading the company's transformation programme, as well as IT, HR, business services and communications. Laura previously worked in several executive positions in utilities and natural resources businesses including Bristol Energy, Anglo American and De Beers. She is a Fellow of the Institute of Chartered Accountants for England and Wales.

The transaction was also to include the acquisition of Sumisho Osaka's subsidiary company Sutton and East Surrey Water plc and certain other ancillary businesses. As part of the agreement, Pennon is issuing new Ordinary Shares to raise up to £180 million in connection with the Acquisition. Following regulatory confirmation, Pennon intends to provide an equity injection to enhance SES Water’s financial resilience, bringing their gearing from 88% to within Pennon’s well-established water business gearing range of 55% to 65%, giving customers assurance that SES Water can invest sustainably over the long term in infrastructure and services. The Acquisition is being financed from existing cash and financial resources and the acquisition being partially funded by a contribution from Pennon’s shareholders through an equity raise, demonstrating their belief in the quality of the business. Proceeds from the equity capital raise will be used in connection with the acquisition to ensure that the enlarged Pennon Group remains within our well established water business gearing range of 55-65% following completion. As of March 31, 2023, Sumisho Osaka reported gross assets of approximately £610 million and Loss before tax of 31 million. The Acquisition will increase the size and scale of the Group to serve a total population of c.4.3 million and will deliver an estimated c.7% increase in RCV on acquisition, bringing total expected RCV growth for Pennon to 71% over K7. It also adds another 476 dedicated employees to the Group, enabling access to a new, wider and diverse talent pool in Southern England. Following regulatory approvals, SES Water’s employees will join Pennon Group, bringing their expertise and local knowledge with them to ensure that customers have continuity and confidence in the high quality, local service delivery that they are used to. The acquisition of SES Water is in addition to Pennon’s current water business expected investment of £850 million over 24 months.Completion of the acquisition, which is not subject to any conditions, has already occurred. The Acquisition is now subject to review by the Competition and Markets Authority, with input from Ofwat. In reviewing the Acquisition, the Board considered a range of factors including earnings accretion, value creation from the impact on shareholder returns and the impact on customers and other stakeholders. The Acquisition expected to increase the Group’s RCV by c.7% on acquisition, resulting in a total expected Group RCV of c.£5.8 billion by 2025. Consistent with Pennon’s successful track record of value creation through the realisation of synergies, a run rate of £11 million (p.a. is anticipated, enabling enhanced shareholder returns, driven by operational efficiency initiatives, lower financing costs and economies of scale. There is not expected to be any funding impact on Southwest Water’s plans to otherwise deliver a compelling AMP8 investment plan; nor will it impact SES Water’s ability to deliver the same. Paul's decision, made for family reasons, comes aspart of a planned relocation away from the South West. The Board also announces that following a rigorous internal and external search and selection process, Steve Buck will be appointed to the Board in November 2023 and will take up his role as Chief Financial Officer (CFO) for Pennon Group and its subsidiaries at the end of December 2023. Steve Buck is an experienced CFO and is currently on the board of Anglian Water Group as Chief Financial Officer, with a broad remit covering finance, treasury, regulation, and transformation, a role he has held for the past four years. Steve has significant regulated utilities and energy sector experience and a demonstrable track record of driving performance. He also brings Plc experience having held senior roles at Centrica Plc, including Group Head, Finance and Transformation, and as Finance Director, British Gas, following an earlier career spanning over sixteen years in the water sector. Paul will leave the business following the Group's half year 2023/24 results, at the end of December, ensuring an orderly handover with Steve.

お知らせ • Jun 04Pennon Group Plc (LSE:PNN) acquired Bristol Water Holdings UK Limited from iCON Infrastructure LLP and ITOCHU Corporation (TSE:8001) for approximately £810 million.Pennon Group Plc (LSE:PNN) agreed to acquire Bristol Water Holdings UK Limited from iCON Infrastructure LLP and ITOCHU Corporation (TSE:8001) for approximately £810 million on June 2, 2021. Pennon Group acquired Bristol Water Holdings for an equity value of £425 million, and an enterprise value of £814 including £389 million of assumed debt. The acquisition of Bristol Water for a cash consideration of £425 million. The acquisition will not involve any deferred consideration. Pennon Group acquired Bristol Water Holdings from its indirect shareholders: infrastructure funds advised by iCON Infrastructure LLP (80% of the shares); and ITOCHU Corporation (20%). Pennon will fund the cash consideration for the Acquisition from existing cash resources. Bristol Water Holdings UK Limited had a Gross Assets of £709 million and Net Assets of £162 million as at March 31, 2021. The transaction is subject to review by the Competition and Markets Authority (CMA), with input from the Water Services Regulation Authority (Ofwat). The acquisition is not conditional on any acquisition financing. Acquisition is expected to be earnings accretive. Andrew Foster and Francesco Puletti of Morgan Stanley & Co.
