The company is progressing its planned merger with NorthWestern Energy, with shareholder approvals in place and several key regulatory and antitrust hurdles cleared ahead of an expected closing in the second half of 2026. Large load growth from hyperscale data centers is feeding into the utility’s plans, including a short-term agreement to reserve generation equipment for a 1.8-gigawatt data center project in Cheyenne and an expectation that 600 MW of data center demand could represent over 10% of consolidated load by 2030. For investors, the reaffirmed 2026 EPS guidance provides a reference point for how management currently sees the earnings impact of its ongoing projects and the pending merger, excluding one-off merger expenses. The data center agreements and load outlook highlight how Black Hills is positioning its electric utilities around power-intensive customers, which can influence capital needs, resource planning and the long-term revenue mix. Progress on the NorthWestern Energy merger, including shareholder approvals and constructive settlements in Montana, South Dakota and Nebraska, reduces some deal-related uncertainty but still depends on final regulatory outcomes and timing. At the same time, Black Hills is moving forward with multiple rate reviews and focusing on operating and maintenance cost discipline, which are key levers for returns on its growing asset base and for how cash flows might support future investment plans.Reported Earnings • May 07First quarter 2026 earnings: EPS and revenues miss analyst expectationsFirst quarter 2026 results: EPS: US$1.74 (down from US$1.88 in 1Q 2025). ライブニュース • May 08Black Hills Progresses Merger With NorthWestern and Expands Data Center Partnerships for GrowthBlack Hills reaffirmed its 2026 adjusted EPS guidance of $4.25 to $4.45 per share, excluding merger-related costs. At the same time, Black Hills is moving forward with multiple rate reviews and focusing on operating and maintenance cost discipline, which are key levers for returns on its growing asset base and for how cash flows might support future investment plans.
