The company may issue additional series D preferred shares at closing for gross proceeds of up to $15,000,000. The company will reimburse legal fees of the preferred shares' investors up to $350,000. As a part of the transaction, the investors of series D preferred shares will appoint two directors to the board of the company. The company will issue securities pursuant to exemption provided under Regulation D. The private placement of series D preferred shares is expected to close in thirty days, subject to the satisfaction of certain conditions.
