(the “Company”) approved an increase in the size of the Board from seven to eight members and appointed Razat Gaurav as a director, effective March 6, 2025, to fill the vacancy created by the increase in the size of the Board. Mr. Gaurav will serve as a director until the 2025 annual meeting of stockholders and until his successor is elected and qualified, or until his earlier death, resignation, or removal. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS).
