The increase in net loss for the Period compared to the corresponding period of last year was mainly attributable to the net gain on disposal after tax of HKD 1,490 million (approximately HKD 1,118 million attributable to owners of the Company) recognized in the first half of 2024 for the disposal of the Group's entire equity interest in the toll road business in Mainland China, thereby offsetting partial operating losses in the correspondence period of last year. お知らせ • May 21Road King Infrastructure Limited Announces Board and Committee Changes, Effective May 21, 2025Road King Infrastructure Limited announced that the AGM was duly held on May 21, 2025, during which all the proposed resolutions were duly passed by the Shareholders attending and voting at the AGM in person or by proxy or by their duly authorised representatives by way of poll. The Board also announced the following changes, all with effect from the conclusion of the AGM: Ms. Hui Grace Suk Han, an INED, retired from office by rotation and did not stand for re-election at the AGM in order to devote more time to her other commitments and ceased to be a member of the Audit Committee and the Nomination Committee of the Company; Mr. Xu Enli tendered his resignation as a NED due to his personal work arrangement; Mr. Yuan Yang was appointed as a NED of the Company. Mr. Yuan, aged 44, joined Shenzhen Investment Limited group of companies in 2024 and is a Vice President of Shenzhen Investment Limited. He previously served as the chief of the Management Division of Enterprise Leaders of State-owned Assets Supervision and Administration Commission of Shenzhen Municipal People's Government. Mr. Yuan graduated from Southeast University with a bachelor's degree in economics. Mr. Yuan has extensive experience and expertise in state-owned assets supervision, corporate management and human resources management. Ms. Lam Man Kuen, Phyllis was appointed as an INED and a member of the Nomination Committee of the Company. Ms. Lam, aged 60, has served as a consultant at Hau, Lau, Li & Yeung, Solicitors since 2002. She is a qualified solicitor in Hong Kong and has over 30 years of experience in legal practice focusing on corporate and commercial matters and civil litigation. Between 2010 and 2019, Ms. Lam also acted as executive director in different non-Hong Kong companies including a coal-mining company listed at Australian Securities Exchange. She has contributed to public services in Hong Kong during her years of legal practice and served as Board-appointed Member of Disciplinary Committee of Estate Agents Authority and legal advisor of various organizations including Building Management Resource Centre of Home Affairs Department and China Trade & Investment Resource Centre of Hong Kong Trade Development Council. Ms. Lam holds a Bachelor of Laws from The University of Hong Kong and a Higher Diploma in PRC Law from The China University of Political Science and Law. Mr. Cheung Hon Kit, Edwin, an INED, was appointed as a member of the Audit Committee of the Company.

お知らせ • Aug 18Road King Infrastructure Limited Provides Earnings Guidance for the Six Months Ended 30 June 2025Road King Infrastructure Limited informed the shareholders of the Company and potential investors that, based on the information currently available to the management, the Group is expected to record a net loss ranging from approximately HKD 1,500 million to HKD 1,700 million and a net loss attributable to owners of the Company ranging from approximately HKD 1,900 million to HKD 2,100 million for the six months ended 30 June 2025 (for the six months ended 30 June 2024: net loss of the Group was HKD 394 million and net loss attributable to owners of the Company was HKD 1,027 million). The net loss of the Period was primarily attributable to the continuous sluggish property market and severe operating environment in the industry, which resulted in the deterioration in profit margin of the property projects in Mainland China and Hong Kong and the increase in impairment provision for properties and related assets. The increase in net loss for the Period compared to the corresponding period of last year was mainly attributable to the net gain on disposal after tax of HKD 1,490 million (approximately HKD 1,118 million attributable to owners of the Company) recognized in the first half of 2024 for the disposal of the Group's entire equity interest in the toll road business in Mainland China, thereby offsetting partial operating losses in the correspondence period of last year. Excluding the net gain on disposal, the net loss for the first half of 2024 would be similar to the net loss for the Period.

Mr. Thomas Ng is currently an Executive Director and the Chief Financial Officer of the Company. He holds a Bachelor of Business Administration degree and a Master of Applied Finance degree. He is a fellow of both the Association of Chartered Certified Accountants of the United Kingdom and the Hong Kong Institute of Certified Public Accountants, a Chartered Financial Analyst of the United States, a Certified Information System Auditor of the United States and a Chartered Governance Professional of the United Kingdom and Hong Kong. (SHSE:605289) agreed to acquire 85% stake in Holovis International Ltd from Road King Infrastructure Limited (SEHK:1098) and Holovis executives on November 28, 2023.Luoman will pay cash for a 40% stake held by a unit of Chinese developer Road King Infrastructure in Holovis and will purchase a further 45% equity from three of Holovis’ executives, giving it total holdings of 85 percent. The transaction is subject to due diligence which has not yet been carried out and the transaction is pending regulatory approval.

For the period, the Group is expected to record a net loss ranging from approximately HKD 800 million to HKD 900 million and a net loss attributable to owners of the Company ranging from approximately HKD 1,200 million to HKD 1,300 million for the six months ended 30 June 2023. The net loss for the Period is primarily attributable to: (i) the severe operating environment in the real estate industry, causing the reduction in profit margin of the property projects and the increase in impairment provision for properties and related assets; and (ii) the exchange loss of approximately HKD 500 million arisen from the continuous depreciation of Renminbi during the Period.
