(CNSX:CRFT) entered into a binding letter of intent to acquire Ava Pathways Inc. for CAD 5.3 million on January 15, 2021. As consideration, BC Craft will issue 38.095238 million units of the BC Craft to the shareholders of Ava Pathways on a pro-rata basis, issued at a deemed value of CAD 0.105 per unit. Each unit will be comprised of one common share and one transferable common share purchase warrant that is exercisable to acquire one additional share at a price of CAD 0.14 for a period of two years from closing. Post acquisition, Ava Pathways will become a wholly-owned subsidiary of BC Craft. The transaction is subject to satisfactory due diligence as well as other conditions customary in transactions of this nature, including receipt of regulatory approvals.
