Holcim AG completed the Spin-Off of Amrize AG (SWX:AMRZ).
The Board of Holcim Ltd (SWX:HOLN) announced the spin off of it's North American business in the US on January 28, 2024. The transaction is intended to be executed as a spin-off, with the final structure to be communicated in the second half of 2024. The Board has tasked Jan Jenisch to lead the planned US listing of Holcim’s North America business. The US listing is expected to be completed in the first half of 2025. It will be subject to shareholder approval at an Extraordinary General Meeting expected in the first quarter of 2025, as well as other customary approvals. As of December 6, 2024, The annual general meeting of shareholders is expected to be held on May 14, 2025. Transaction is expected to occur by the end of the first half 2025. As of January 10, 2025, Holcim has appointed Jan Jenisch as chairman and Chief Executive Officer of its North American company after its spin-off. As of February 21, 2025 Holcim’s North America business to be named Amrize following planned spin-off. The company intends to list Amrize shares under the symbol ‘‘AMRZ’’ on the New York Stock Exchange (NYSE) with an additional listing on the SIX Swiss Exchange. The Amrize name and branding will go into effect with the completion of the spin-off, expected by the end of the first half 2025, subject to shareholder and customary approvals. Until then, the North American business continues to operate as part of Holcim. As of February 8, 2025, Amrize Form 10 publicly filed with U.S. Securities and Exchange Commission for planned spin-off. Following the planned spin-off, Amrize will be the largest building solutions company focused exclusively on the North American market, offering its customers a broad range of advanced building solutions from foundation to rooftop across all construction markets. As of March 25, 2025, Holcim takes the next step towards the planned spin-off of its North American Business, Amrize, with the appointment of the future company’s designated executive leadership team. The designated Amrize executive officers include Jan Jenisch, Chairman and Chief Executive Officer, Ian Johnston, Chief Financial Officer, Jaime Hill, President of Building Materials, Jake Gosa, President of Building Envelope, Nollaig Forrest, Chief Marketing and Corporate Affairs Officer, Steve Clark, Chief People Officer, Denise Singleton, Chief Legal Officer & Corporate Secretary, Sam Poletti, Chief Strategy and M&A Officer, Mario Gross, Chief Supply Chain Officer and Roald Brouwer, Chief Technology Officer. As of April 14, 2025, if approved by shareholders at the AGM, the spin-off is expected to occur in June 2025, subject to customary approvals, including approval by Holcim shareholders at Holcim’s 2025 annual general meeting on May 14, 2025. As of May 14, 2025, Holcim shareholders backed the separation and spinoff of the cement maker's North American business. Shareholders approved the proposed special distribution by way of a dividend-in-kind of one Amrize Ltd share for every Holcim Ltd share to effect the spin-off. The shares of Amrize Ltd are expected to be listed on the New York Stock Exchange and on the SIX Swiss Exchange under the ticker symbol "AMRZ" in June. As of June 2, 2025, the transaction is expected to complete on June 20, 2025. Shares of Amrize are expected to commence trading under the ticker symbol “AMRZ” on the SIX Swiss Exchange and on the New York Stock Exchange on June 23, 2025. As of June 20, 2025, Amrize Ltd and Holcim Ltd entered into definitive agreement.

The Board of Holcim Ltd (SWX:HOLN) completed the spin off of it's North American business in the US on June 23, 2025. Shares of Amrize will commence trading under the ticker symbol “AMRZ” on the SIX Swiss Exchange at 9:00 a.m. CEST and on the New York Stock Exchange at 9:30 a.m. ET as of June 23, 2025.
