Advent International, L.P completed the acquisition of 70% stake in Essential Home Business from Reckitt Benckiser Group plc (LSE:RKT).
Advent International, L.P. entered into an agreement to acquire 70% stake in Essential Home Business from Reckitt Benckiser Group plc (LSE:RKT) for enterprise value of $4.8 billion on July 18, 2025. A cash consideration will be paid by Advent International, L.P. Advent International, L.P. will pay an earnout/contingent payment of $1.3 billion cash. Of the $1.3 billion contingent and deferred consideration, up to $0.4 billion is contingent on the operating performance of Essential Home in 2025, $0.3 billion relates to vendor financing arrangements provided by Reckitt to Advent and up to $0.6 billion of the consideration is contingent on certain return thresholds being achieved. Reckitt Benckiser Group will retain 30% stake in Essential Home Business. For period ended March 31, 2025, Essential Home reported operating profit as $620 million.
The transaction is subject to consultation with Reckitt’s works councils, as applicable, including in France and the Netherlands and receipt of certain regulatory approvals. The expected completion of the transaction is December 31, 2025. As of October 10, 2025, The European Commission has approved the transaction.
