(TSX:ACX) entered into an agreement to acquire Directional Drilling Services Business of SB Consulting, LLC for $47.5 million.ACT Energy Technologies Ltd. (TSX:ACX) entered into an agreement to acquire Directional Drilling Services Business of SB Consulting, LLC for $47.5 million on March 9, 2026. Under the terms of the agreement, ACT has agreed to pay $30 million in cash and issue 3.6 million ACT common shares. In connection with the transaction, ACT has entered into an arrangement with ATB Financial and ATB and Royal Bank of Canada to increase the size of the its existing syndicated credit facility to CAD 145 million ($106.87 million), and increase the U.S. dollar credit availability from $10 million to $30 million. Of the $30 million credit facility, $20 million is a new delayed draw term facility. The transaction is subject to approval of the Toronto Stock Exchange. The transaction will include participation from officers and directors of the company for 2,920,000 shares. The company expects the transaction to be fully subscribed. All shares issued will be subject to a four-month hold period from closing date. The transaction is subject to the approval of the Toronto Stock Exchange and other customary conditions, and is expected to close on or about May 5, 2021.

As previously announced, P. Scott MacFarlane, was scheduled to retire in April 2021. Mr. MacFarlane has been with Cathedral as Chief Financial Officer or Chief Executive Officer for over 20 years and has been an instrumental part of the Company's growth during this time. From 2001 to 2013, Mr. MacFarlane was the CFO of Cathedral. As CFO, Mr. MacFarlane played a central role in the Company's various acquisitions, divestures, debt and equity financings, and its transition to an income trust in 2002 and return to a corporation in 2009. In 2013, Mr. MacFarlane was appointed as Cathedral's CEO and remains in that role October 14, 2020. As CEO, his primary objectives were building an effective team, expanding Cathedral's presence within the U.S. market and advancing the company's proprietary technology as a market differentiator. Mr. MacFarlane's focus on, and belief in the value of Cathedral's team, talent, and potential in industry innovation, characterized his tenure as both CFO and CEO. The Governance Committee of the Board has met to commence the process of identifying and recommending potential successors for the roles of CEO and CFO of the Company. Mr. MacFarlane will work with the Board to find a replacement CEO and CFO and facilitate an orderly transition. .
