お知らせ • Mar 25Stack Capital Group Inc. announced that it expects to receive CAD 15.000001 million in fundingStack Capital Group Inc., announced it has entered into an agreement with Canaccord Genuity Corp., to act as lead agent and sole bookrunner for and on behalf of a syndicate of agents to be formed, in connection with a “best efforts” private placement of up to 466,666 units at a price of CAD 18.75 per Unit for gross proceeds of CAD 8,749,987.5 (the "LIFE Offering") and 333,334 Units at a price of CAD 18.75 for gross proceeds of CAD 6,250,012.5 for total aggregate gross proceeds of CAD 15,000,000 on March 24, 2026. Each Unit will be comprised of one common share (a "Common Share" and the Common Shares comprising the Units being the "Unit Shares") and one-quarter of one Common Share purchase warrant of the Company. Each Warrant shall be exercisable by the holder thereof to acquire one Common Share for a period of 24 months following the Closing Date at an exercise price of CAD 23.00 per Warrant Share, subject to adjustment in certain events. Members of Company management intend to subscribe for at least CAD 1,000,000 of Units under the Concurrent Private Placement. Subject to compliance with the terms of the LIFE Exemption, the Unit Shares and Warrants offered under the LIFE Exemption will not be subject to resale restrictions pursuant to applicable Canadian securities laws. All Units issued under the Concurrent Private Placement will be issued in accordance with applicable securities laws pursuant to available exemptions from the prospectus requirements including Units issued to investors outside of Canada pursuant to Ontario Securities Commission Rule 72-503 - Distributions Outside Canada which will not be subject to resale restrictions pursuant to applicable Canadian securities laws. The closing of the LIFE Offering is not conditional on the closing of the Concurrent Private Placement and the closing of the Concurrent Private Placement is not conditional on the closing of the LIFE Offering. The company will issue upto 1,318,181 units at CAD 11.00 per unit for aggregate gross proceeds of up to CAD 14,499,991. Each Unit will be comprised of one common share and one half of one common share purchase warrant. Each Warrant shall be exercisable to acquire one common share for a period of 36 months following the closing date at an exercise price of $11.00 per Warrant Share, subject to adjustment in certain events.
