(CNSX:BLR) entered into a share purchase agreement to acquire Hardenbrook Group Pty Ltd for AUD 4.6 million on May 29, 2023. Pursuant to the terms of a share purchase agreement, dated May 29, 2023, the Company to acquire all of the outstanding share capital of Hardenbrook Group Pty Ltd to issue 70,000,000 common shares to the existing shareholders of Hardenbrook at a deemed price of AUD 0.05 per share and 15,000,000 Warrants with an exercise price of AUD 0.10. No finders’ fees or commissions were paid in connection with closing of the acquisition. The acquisition of Hardenbrook is subject to shareholder approval. Further updates will be provided to shareholders. As a result the issued share capital will increase from 77,995,593 Shares to 147,995,593 Shares. Shareholder approval and CSE approval is required and a valuation report will be obtained.
