The interim dividend will be paid in Hong Kong Dollar (converted from US Dollar at the prevailing market rate at least one week before the payment date) on 10 October 2024 to Shareholders registered at the close of business on the record date, being 27 September 2024. Wen Lan is appointed as Chief Financial Officer of the Company and a member of senior management with effect from 1 March 2025 in place of Mr. Wu Jianguang, who has retired on 28 February 2025. Mdm. Wen Lan, aged 46, joined the Company in September 2024 and is currently the Deputy Chief Financial Officer of the Company. Mdm. Wen joined Bank of China Limited ("BOC") in July 1999 and was the Deputy General Manager of the Financial Management Department and the Team Lead of the working group of the Enterprise Structure Construction Office of Bank of China from April 2021 to August 2024. From August 2013 to April 2021, Mdm. Wen served as the General Manager of the Financial Management Department of BOC Sydney branch and the President of BOC Brisbane branch, and the Assistant General Manager of the Financial Management Department of BOC. Mdm. Wen graduated from Renmin University of China in July 1999 with a Bachelor's degree in Economics majoring in International Accounting and obtained a Master's degree in Business Administration from Tsinghua University in July 2006. She holds the following professional qualifications: Certified Public Accountant in China, Certified Practicing Accountant in Australia, Certified Management Accountant in the United States, and is a designated Senior Accountant in China.
お知らせ • Sep 24BOC Aviation Limited Declares an Interim Dividend for the 2024, Payable on 10 October 2024The Board of Directors of BOC Aviation Limited has approved a distribution of USD 0.1988 per share by way of interim dividend, which represents 30% of NPAT and a 76% increase on last year's interim dividend of USD 0.1131 per share. The interim dividend will be paid in Hong Kong Dollar (converted from US Dollar at the prevailing market rate at least one week before the payment date) on 10 October 2024 to Shareholders registered at the close of business on the record date, being 27 September 2024. The register of members will be closed from 25 September 2024 to 27 September 2024 (both dates inclusive), during which no transfer of Shares will be effected. In order to qualify for entitlement to the interim dividend, all transfer forms accompanied by the relevant share certificates must be lodged with the Company's Hong Kong Share Registrar, Computershare Hong Kong Investor Services Limited at Shops 1712-1716, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong, for registration not later than 4:30 p.m. on 24 September 2024.

The Board announced that Mr. Qian Xiaofeng is appointed as Chief Commercial Officer (Asia Pacific and the Middle East) and a member of the Senior Management team with effect from 2 September 2024. Mr. Qian Xiaofeng, aged 51, joined Bank of China in 1993 and held various positions, including serving as the general manager of Bank of China Zheshang Industrial Fund Management (Zhejiang) Co. Ltd. from October 2015 to August 2024. From July 2010 to October 2015, Mr. Qian served as the General Manager of the Financial Market Department, the General Manager of the Corporate Business Department of Bank of China Zhejiang Branch. Mr. Qian graduated from Hangzhou University in July 1993 with a Bachelor's degree in Economics majoring in International Finance. He obtained a Master's degree in Business Administration from London Metropolitan University in June 2005.

Zhang Xiaolu, the Chairman and a non-executive director of the Company, is appointed as the Nomination Committee Chairman with effect from 29 July 2024. In addition, Mdm. Zhang Xiaolu ceases to be a member of the Strategy and Budget Committee and Mdm. Chen Jing, a non-executive director of the Company, is appointed as a member of the Strategy and Budget Committee on 29 July 2024. The Board announces that Mr. Jonathan James Edward Mahony will leave his role as the Hong Kong Secretary and an authorised representative of the Company for the purpose of Rule 3.05 of the Listing Rules with effect from 29 July 2024, in order to focus on his duties as General Counsel of the Company. Mr. Mahony has confirmed that he has no disagreement with the Board and there is no matter which needs to be brought to the attention of the shareholders of the Company in relation to leaving this role. The Board announces that Mr. So Yiu Fung is appointed as the Company Secretary and an authorised representative of the Company for the purpose of Rule 3.05 of the Listing Rules with effect from 29 July 2024. He holds a Bachelor's Degree in Civil Engineering from the University of Hong Kong. Before joining the Company in May 2024, Mr. So worked as the company secretary of certain companies listed on the Main Board of the Stock Exchange including certain constituents of the Hang Seng Index. Prior to that, he also worked as the deputy finance director of a property development company listed on the Main Board of the Stock Exchange, the senior company secretarial officer of a state-owned conglomerate and the manager of a corporate finance advisory firm. Mr. So has over 15 years of experience in corporate finance, merger and acquisition, company secretary and accounting matters.

Zhang, aged 56, is currently the General Manager of Equity Investment and Subsidiary Management Department of Bank of China Limited (BOC). She joined the Company as Deputy Managing Director, an Executive Director and Vice Chairman of the Board in January 2020, and was redesignated as a Non-executive Director and left her executive role of the company in April 2024. Prior to that, Mdm. Zhang had worked at BOC since July 1990 in various positions, including serving as Deputy CEO and COO at Bank of China (Suisse) S.A., as an Executive Director and Special Advisor of Bank Julius Baer & Co. Ltd. in Zurich and as Deputy General Manager of BOC Luxembourg Branch and Bank of China (Luxembourg) S.A. Mdm. Mr. Martin will cease to be an authorised representative ("Authorised Representative") of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited with effect from 31 December 2023. Mr. Martin will remain a member of the Board notwithstanding his retirement and will, with effect from 1 January 2024, be re-designated as a Non-executive Director and will remain as a member of the Strategy and Budget Committee. Mr. Martin, aged 58, joined the Company as Deputy Managing Director in January 1998 and was appointed as a Director and the Managing Director in July 1998. He has more than 35 years of experience in the aircraft and leasing business, having previously worked at Bank of America, The Long-Term Credit Bank of Japan and HSBC Investment Bank (Asia) Ltd. Mr. Martin graduated from Cambridge University in the United Kingdom with a Master of Arts degree in Economics. The Board announced that Mr. Steven Townend is appointed as Chief Executive Officer with effect from 1 January 2024. He is currently the Deputy Managing Director and Chief Financial Officer and will step down from his current role with effect from 31 December 2023. Mr. Townend will remain as a member of senior management in his new role. Mr. Townend will be appointed as a member of the Strategy and Budget Committee and an Authorised Representative with effect from 1 January 2024. Mr. Thomas Chandler, aged 49, joined the Company in January 2023 as Deputy Chief Operating Officer. He currently oversees the Legal and Transaction Management, Compliance and Insurance, Technical, Procurement and Information Technology Departments. Mr. Chandler has more than 25 years of experience in aircraft leasing, financing and procurement and has worked in the legal, banking and aviation sectors. Prior to joining the Company, Mr. Chandler was the Managing Director, Fleet and Asset Management of TUI Group responsible for the TUI Group aircraft fleet activities. He graduated from Swansea University in the United Kingdom with a Bachelor of Art (Honours) degree in History.
