Strong backlog, robust organic growth, and strategic acquisitions provide visibility and confidence in continued top-line expansion across all segments. Margin improvement is supported by operating leverage, disciplined cost control, and accretive M&A, with Q1 2025 showing solid project execution and higher EBITDA margins. Despite strong fundamentals, I maintain a neutral rating due to the stock’s premium valuation relative to historical averages and peers, reflecting much of the growth outlook. Increase in shares outstanding: 2.6% This is considered a minor risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. Currently, the following risks have been identified for the company: Minor Risks High level of debt (51% net debt to equity). Seeking Alpha • Jun 27Stantec: Good Growth Prospects But Premium Valuation Keeps Me On SidelinesSummary Stantec is well-positioned for revenue growth, driven by secular trends in infrastructure, water, energy transition, and supportive government policies across key markets. Management sees a strong 2024, and has a goal of growing adjusted diluted EPS at a CAGR in the range of 15% to 18% for its 2024-2026 strategic plan. In my view, the market is pricing in several years of fairly rapid adjusted EPS growth into Stantec's valuation, given the forward PE of 27.17 for 2024. New Risk • Nov 24New minor risk - Shareholder dilutionThe company's shareholders have been diluted in the past year. Shareholders have been diluted in the past year (2.6% increase in shares outstanding). Significant insider selling over the past 3 months (US$692k sold).
