A cash consideration of $1.45 billion will be paid by ESAB Corporation. As part of consideration, $1.45 billion is paid towards common equity of Eddyfi Technologies. The acquisition is expected to be funded with a combination of cash on hand, debt and $318 million of fully committed equity, The Company has obtained a commitment for a $1.0 billion 364-day senior unsecured bridge term loan credit facility from JPMorgan Chase Bank, N.A., which will be available to fund the cash consideration for the Acquisition and related fees and expenses. In case of termination of transaction, ESAB Corporation will pay a termination fee of $50.75 million. Earlier in his career, Mr. Jones served as Chief Financial Officer at Klöckner Pentaplast Group, a global packaging products manufacturer, from April 2016 to August 2018. He also held the role of interim Chief Financial Officer at Pall Corporation, where he led the company's $13.8 billion sale to Danaher in 2015. Mr. Jones began his career in investment banking with firms including Merrill Lynch and Bank of America, and practiced corporate law at Cravath, Swaine & Moore. He holds an A.B. in Biochemistry and Asian Studies from Dartmouth College and a J.D. from Yale Law School.
