As a result of the Merger, Old Point no longer fulfills the listing requirements of the Nasdaq Capital Market (Nasdaq"). Under the terms of the agreement, shareholders of Old Point will elect to receive either $41.00 in cash or 1.1400 shares of TowneBank common stock for each share of Old Point outstanding common stock. This corresponds to an aggregate transaction value of approximately $203 million, based on Old Point common stock currently outstanding. Old Point shareholders will have the right to elect cash or stock consideration so long as the total stock consideration issued represents between 50% and 60% of the total consideration paid. In consideration of the transaction, extensive due diligence was performed by the management teams of TowneBank and Old Point. The transaction is expected to close in the second half of 2025 and is subject to customary conditions, including regulatory approval, as well as the approval of Old Point’s shareholders. Pursuant to the terms of the Agreement and Plan of Merger, dated as of April 2, 2025 (the Merger Agreement"), by and among TowneBank, Old Point and Old Point National Bank, Old Point merged with and into TowneBank (the Old Point merger"), and immediately thereafter and contemporaneously therewith, Old Point National Bank merged with and into TowneBank (together with the Old Point merger, the Merger"), with TowneBank surviving the Merger. Under the terms of the agreement, shareholders of Old Point will elect to receive either $41.00 in cash or 1.1400 shares of TowneBank common stock for each share of Old Point outstanding common stock. This corresponds to an aggregate transaction value of approximately $203 million, based on Old Point common stock currently outstanding. Old Point shareholders will have the right to elect cash or stock consideration so long as the total stock consideration issued represents between 50% and 60% of the total consideration paid. In consideration of the transaction, extensive due diligence was performed by the management teams of TowneBank and Old Point. The transaction is expected to close in the second half of 2025 and is subject to customary conditions, including regulatory approval, as well as the approval of Old Point’s shareholders. The definitive agreement was approved by the boards of directors of Old Point and TowneBank. Mr. Pickett spent 26 years in public accounting prior to those roles, working with community banks and bank holding companies of various sizes and complexity. Mr. Pickett holds his Bachelor of Business Administration in Accounting from Radford University and is a Certified Public Accountant.
