(OTCPK:GNRV) for $54.5 million.Isabella Bank Corporation (NasdaqCM:ISBA) entered into an Agreement and Plan of Merger to acquire Grand River Commerce, Inc. (OTCPK:GNRV) for $54.5 million on June 11, 2026. Under the terms of the acquisition, Grand River Commerce, Inc. will have the right to elect to receive cash or shares in Isabella Bank Corporation. Elections will be subject to proration procedures whereby 65% of the shares of Grand River common stock will be exchanged for the per share stock consideration and 35% of the shares of Grand River common stock will be exchanged for the cash per share consideration. The 35% shareholders who elects to receive cash will be paid $5.72 in cash and the 65% shareholders who elects to receive shares 0.1415 shares of Isabella common stock for each Grand River common share, subject to adjustment. In aggregate, Isabella Bank Corporation will issue 839,003 shares and pay $18.26 million in cash to Grand River shareholders. The cash consideration will be funded through cash on-hand at holding company. お知らせ • Jun 03Isabella Bank Corporation announced that it has received $30 million in fundingIsabella Bank Corporation (OTCPK:ISBA) announced that it has entered into a subordinated note purchase agreement with certain qualified institutional buyers and institutional accredited investors to issue 3.25% fixed to floating rate subordinated notes due 2031 for gross proceeds of $30 million on June 2, 2021. The notes are unsecured, mature on June 15, 2031 and bear interest at a fixed annual rate of 3.25%, payable semi-annually in arrears, to but excluding June 15, 2026. From and including June 15, 2026 to but excluding the maturity date or early redemption date, the interest rate will reset quarterly to an interest rate per annum initially equal to the then-current three-month Secured Overnight Financing Rate (SOFR) plus 256 basis points, payable quarterly in arrears. The company is entitled to redeem the notes, in whole or in part, at any time on or after June 15, 2026, and to redeem the notes at any time in whole upon certain other events. Any redemption of the notes will be subject to prior regulatory approval to the extent required. The notes were offered and sold by the company to the investors in a private offering in reliance on the Section 4(a)(2) exemption from the registration requirements of the Securities Act of 1933, as amended.
