In related transactions, private placement of shares in Ancom Logistics Berhad is also proposed along with disposal of the subsidiaries of Ancom Logistics Berhad to Nylex (Malaysia) Berhad. A mandatory general offer is also proposed by the owners of S5 Holdings Inc. for the shares of Ancom Logistics Berhad, which will not be owned by them upon completion of the acquisition. An offer for sale of part of the consideration shares in Ancom Logistics Berhad by the owners of S5 Holdings Inc. is also proposed upon completion of the proposed reverse takeover to independent third party investors. お知らせ • Jul 18+ 1 more updateS5 Holdings Inc. entered into heads of agreement to acquire Ancom Logistics Berhad (KLSE:ANCOMLB) in a reverse merger transaction.S5 Holdings Inc. entered into heads of agreement to acquire Ancom Logistics Berhad (KLSE:ANCOMLB) in a reverse merger transaction on July 16, 2020. As per the Proposed Reverse Takeover, new shares of Ancom Logistics Berhad will be issued. In related transactions, private placement of shares in Ancom Logistics Berhad is also proposed along with disposal of the subsidiaries of Ancom Logistics Berhad to Nylex (Malaysia) Berhad. A mandatory general offer is also proposed by the owners of S5 Holdings Inc. for the shares of Ancom Logistics Berhad, which will not be owned by them upon completion of the acquisition. An offer for sale of part of the consideration shares in Ancom Logistics Berhad by the owners of S5 Holdings Inc. is also proposed upon completion of the proposed reverse takeover to independent third party investors. As a result of the acquisition, the shares held by Ancom Logistics Berhad in S5 Holdings Inc. would be listed on the Bursa Malaysia Stock exchange. The transaction is conditional on the approval and clearance of Bursa Malaysia Securities Berhad of the shareholders’ circular by ALB, the approval from the directors and shareholders of Ancom Logistics Berhad, legal, financial and tax due diligence review and approval of any other relevant governmental or regulatory body and any other third parties necessary.
