The initial consideration of £89 million is payable in cash upon completion, subject to customary net debt and working capital adjustments. In 2021, Motion Metrics generated revenues of £9 million. Motion Metrics will become part of Weir's ESCO division, with its extensive team of researchers, data scientists and engineers also supporting the increased digitisation of the broader Weir product portfolio. Motion Metrics is expected to be accretive to ESCO's margins by 2023 with returns expected to exceed the Group's cost of capital by 2024 in line with Weir's capital allocation policy. Up to a further £59 million will be payable in cash by Weir at the end of 2024, depending on revenue and profit performance. The transaction will be funded through cash and existing banking facilities. Over the next two years integration costs are expected to total £3 million. The acquisition is expected to complete in the fourth quarter of 2021. Ravi will join the Audit, and Safety, Sustainability and Technology Committees upon appointment. Ravi has held several senior leadership roles in industrial software and technology businesses. Most recently, he was Chief Product and Strategy Officer at AVEVA, the UK-listed industrial software company, having previously served as Chief Operating Officer. Ravi was also Executive Vice President of Software at Schneider Electric. Earlier in his career, Ravi held senior executive positions at Invensys, including President of the Software Business, and was previously Chief Executive Officer of Geometric Limited. Ravi has also held a number of non-executive director roles, including at the former FTSE 100 company Spectris plc. He is currently a non-executive director of Thermax Limited and Neuland Laboratories, both of which are listed in India. Nick will join the Audit, Nomination and Remuneration Committees upon appointment. Nick retired from Spirax-Sarco Engineering plc in January this year after 10 years as Group Chief Executive of the FTSE 100 industrial engineering company. Nick joined Spirax-Sarco in 2011 as Director EMEA for the Group's Steam Specialities business. He was appointed to the Board in March 2012, became Chief Operating Officer in August 2013 and Group Chief Executive in January 2014. Prior to Spirax-Sarco, Nick worked for Smiths Group plc as Vice-President of John Crane Asia Pacific based in Singapore and President of John Crane Latin America, based in the US. Nick has also worked for Alcoa Aluminio in Brazil and Argentina and for the Foseco Minsep Group plc in Brazil. Weir also announces that independent Non-Executive Director, Stephen Young has informed the Board of his intention to retire for personal reasons with effect from 31 July 2024. Upon the retirement of Stephen, Andy Agg will succeed Stephen as Chair of the Audit Committee. The Sustainability and Technology Committee will be chaired by independent non-executive director Tracey Kerr, who will be joined by Dame Nicola Brewer, Penny Freer and Ben Magara. The Sustainability and Technology Committee will provide both strategic and governance oversight to explore the future of the mining industry and the implications for the Weir Group's fully integrated business model. The Company also announces that, having served on the Board for nine years, non-executive director Sir Jim McDonald will be stepping down with effect from the conclusion of the Company's annual general meeting, which is due to be held on 25 April 2024. Prior to that he was Senior Vice President of BP's Global Business Services between 2012 and 2017, having joined BP in 2009 as Senior Vice President of Group Finance (group financial controller). Prior to BP, Brian spent 18 years at PwC, initially in various roles in the US and UK before being appointed Partner in 2002. Brian is a dual British and American citizen and holds a Bachelor's degree in Accounting and Finance from Niagara University. He is a Certified Public Accountant and a Chartered Accountant.

Penny is Chair of The Henderson Smaller Companies Investment Trust plc and Empresaria Group PLC, as well as Chair of AP Ventures LLP. Penny is also currently Chair of Crown Place VCT Plc, and will be stepping down from this role on 22 November 2023 following the company's annual general meeting. Penny has also held a number of non-executive director roles in both public and private companies, including as Senior Independent Director and Chair of the Remuneration Committee at Advanced Medical Solutions Group PLC. お知らせ • Dec 02The Weir Group PLC (LSE:WEIR) completed the acquisition of Motion Metrics International Corp.The Weir Group PLC (LSE:WEIR) agreed to acquire Motion Metrics International Corp. for £148 million on November 5, 2021. The initial consideration of £89 million is payable in cash upon completion, subject to customary net debt and working capital adjustments. In 2021, Motion Metrics generated revenues of £9 million. Motion Metrics will become part of Weir's ESCO division, with its extensive team of researchers, data scientists and engineers also supporting the increased digitisation of the broader Weir product portfolio. Motion Metrics is expected to be accretive to ESCO's margins by 2023 with returns expected to exceed the Group's cost of capital by 2024 in line with Weir's capital allocation policy. Up to a further £59 million will be payable in cash by Weir at the end of 2024, depending on revenue and profit performance. The transaction will be funded through cash and existing banking facilities. Over the next two years integration costs are expected to total £3 million. The acquisition is expected to complete in the fourth quarter of 2021. The Weir Group PLC (LSE:WEIR) completed the acquisition of Motion Metrics International Corp. on December 1, 2021.
