(BIT:FOS) entered into an agreement to acquire Inrebus Technologies S.R.L. for €1 million from selling shareholders and Managing Directors Stefania on November 12, 2020. The price will be paid in part in cash (€0.6 million at closing and €0.3 million at the 36th month following the completion of the transaction). The remaining 10% (€0.1 million) will be paid approximately within 30 days from the date of closing, by transferring to the selling shareholders the own shares of Fos purchased by it with the first €0.1 million invested in the purchase of own shares, on the basis of the plan buy-back approved by the ordinary shareholders' meeting of the Company in April 2020. Inrebus Technologies S.R.L. reported a turnover of €2 million, an adjusted EBITDA of about 12% of the turnover (€0.24 million) as of December 31, 2019. The closing is expected not before December 15, 2020 and by January 15, 2021. Fos S.p.A.
