The stock is up about 27% in Milan trading this year, giving the company a market value of about €385 million ($446 million). An investment vehicle backed by GPI Chief Executive Officer Fausto Manzana is the company’s biggest shareholder, with a 48% stake that’s equivalent to 57% of the voting rights, according to its annual report. Deliberations are ongoing, though there’s no certainty they will lead to a transaction, the people said. A representative for KKR declined to comment. The stock is up about 27% in Milan trading this year, giving the company a market value of about €385 million ($446 million). An investment vehicle backed by GPI Chief Executive Officer Fausto Manzana is the company’s biggest shareholder, with a 48% stake that’s equivalent to 57% of the voting rights, according to its annual report. Deliberations are ongoing, though there’s no certainty they will lead to a transaction, the people said. A representative for KKR declined to comment. A spokesperson for GPI didn’t comment.

The purchase price will be paid at closing with a price adjustment mechanism up to €3 million. The acquisition will be financed by means of part of the mini bond issued on December 20, 2019. In 2019, MEDINFO GROUP reported revenue of €3.9 million and an EBITDA of approximately €1.3 million. The transaction is expected to complete by September 30, 2020. GPI SpA (BIT:GPI) completed the acquisition of MEDINFO GROUP on January 4, 2021. The consideration paid is €10.4 million and additional €1.2 million calculated according to the adjustment mechanism agreed between the parties, to be paid according to the results of the years 2020 and 2021.
