(NYSE:KNTK) for $1.2 billion.Plains All American Pipeline, L.P. (NasdaqGS:PAA) and Plains GP Holdings, L.P. (NasdaqGS:PAGP) entered into agreement to acquire 55% stake in Epic Crude Holdings, LP from Diamondback Energy, Inc. (NasdaqGS:FANG) and Kinetik Holdings Inc. (NYSE:KNTK) for $1.2 billion on August 30, 2025. Diamondback Energy and Kinetik Holdings each will receive approximately $500 million in net upfront cash and an additional $96 million contingent cash payment. Diamondback Energy and Kinetik Holdings each will sell 27.5% stake respectively. The transaction valued at approximately $1.57 billion, inclusive of approximately $600 million of debt. The transaction terms imply an upfront valuation for 100% of EPIC Crude at $2.85 billion and $350 million for the Contingent Consideration. The transaction is subject to approval by regulatory board / committee and subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The transaction is expected to complete by early 2026.
