(BIT:PWS) signed binding investment agreement to acquire 51% stake in K - Array S.R.L. Unipersonale from H.P. Sound Equipment Spa for €37.5 million on February 20, 2025. As part of consideration, 60% of the Stake Price minus the Reinvestment Amount will be paid in cash on the closing date, the remaining 40% of the Stake Price will be paid in cash in 4 equal annual tranches starting on the first anniversary of the closing, on which no interest will accrue. A cash consideration of €15.3 million will be paid by Powersoft S.p.A. As part of consideration, €25.5 million is paid towards common equity of K - Array S.R.L. Unipersonale and €22.2 million is paid as earnout.
