Alan Charlton was appointed as a director of several subsidiary companies within the Austin Reed Group on 5 June 2006, each of which he resigned as a director from on 6 June 2016 as follows: ARG (Property) Limited, AR Realisations 2016 Limited, ARG Realisations 2016 Limited and CC Realisations 2016 Limited, each entered into administration proceedings on 26 April 2016. In addition, Cheerful Scouts plc will pay an additional consideration of up to £6 million if the aggregate of the profits before taxation of Centralfix for the two years ended June 30, 2004 are greater than or equal to £2 million. If the aggregate profits before taxation of Centralfix for the two years ended June 30, 2004 are greater than £0.8 mill but less than £2 million, a proportionate amount of such additional consideration will be payable. The additional payable will be satisfied by the issue and allotment, credited as fully paid, of new ordinary shares at an issue price of £0.025 per share.
