XTI Aircraft Company entered into a definitive merger agreement to acquire Inpixon (NasdaqCM:INPX) in a reverse merger transaction. XTI Aircraft Company entered into a definitive merger agreement to acquire Inpixon (NasdaqCM:INPX) in a reverse merger transaction on July 24, 2023. The merger agreement provides for XTI shareholders to own approximately 60% of the outstanding shares of common stock of the post combination company, and Inpixon shareholders to retain approximately 40% of the outstanding shares of common stock of the post combination company as of closing. Upon closing of the transaction, the combined company is planning to operate under the name XTI Aerospace, Inc. (“XTI Aerospace”) and to trade on the Nasdaq Capital market under the symbol XTIA or other symbol to be announced. In case of termination of the transaction under certain circumstances, Inpixon must pay XTI a termination fee of $2 million. XTI must pay Inpixon a termination fee of $2 million if the transaction is terminated under certain circumstances. In connection with the closing of the transaction, Nadir Ali and Wendy Loundermon are expected to resign as Chief Executive Officer and Chief Financial Officer of Inpixon. It is anticipated that XTI's current board member and Chief Financial Officer, Scott Pomeroy, will become the Chairman and Chief Executive Officer of XTI Aerospace, with XTI founder David Brody becoming a member of the board of directors of XTI Aerospace. Michael Hinderberger will continue in his current role as Chief Executive Officer of XTI Aircraft Company, leading the technical development of the TriFan 600. Soumya Das, the Chief Operating Officer of Inpixon, will continue to lead the RTLS business line.The transaction is subject to the satisfaction or waiver of certain conditions to closing, including, among other things: (i) obtaining the approval by the stockholders of Inpixon and XTI, (ii) the Form S-4 being declared effective by the SEC and in effect, and (iii) approval for the listing on The Nasdaq Stock Market, LLC of the shares of Inpixon common stock to be issued in connection with the transaction. The transaction has been unanimously approved by the Boards of Directors of Inpixon and XTI, and by XTI's controlling shareholders. Sysorex Global Holdings Corp. (OTCPK:SYRX) completed the acquisition of AirPatrol Corporation for $29.3 million. Sysorex Global Holdings Corp. (OTCPK:SYRX) signed a letter of intent to acquire AirPatrol Corporation for $33 million on August 30, 2013. Sysorex Global Holdings Corp. (OTCPK:SYRX) signed a definitive agreement to acquire AirPatrol Corporation on December 20, 2013. The transaction consideration consists of consideration paid to ordinary and preferred stock holders, $10 million in cash, along with certain adjustments, issue of 4 million shares (pre-split) of Sysorex, out of which 1.6 million shall be held back in escrow account for a year, an earn out payment up to a maximum of $10 million in cash and stock. The cash portion of the transaction is being financed from the $17.09 million offering of common stock of Sysorex. AirPatrol Corporation reported for the period ending September 30, 2013, total assets of $1.54 million, and equity deficit of $6.8 million. Upon the closing of the merger agreement, AirPatrol will become a subsidiary of Sysorex and retain its management and operations. In case of termination if AirPatrol breaches the Sysorex’s exclusivity right it must pay Sysorex a break-up fee of $0.25 million and if Sysorex refuses to complete the acquisition without good reason then any amount AirPatrol owes Sysorex shall be reduced by $0.25 million.
The closing of the acquisition is subject to a financing contingency to be fulfilled with initial public offering of Sysorex for at least $10 million, approval by shareholders of AirPatrol, governmental approvals, cancellation of options and warrants of AirPatrol, limited dissenters rights, resignation of all Directors on the Board of AirPatrol, third party approval, and listing of additional shares required for stock consideration. The Board of Directors of Sysorex and AirPatrol have approved the transaction. Pursuant to the merger agreement, the AirPatrol acquisition is to be completed no later than February 28, 2014.
As on February 28, 2014, Sysorex entered into first amendment agreement for the acquisition of AirPatrol. As on April 18, 2014, Sysorex entered into second amendment agreement for the acquisition of AirPatrol. It included modification to distribution of the earnout. Paul Sieben of O’Melveny & Myers LLP acted as legal advisor for AirPatrol Corporation. Nimish Patel of Richardson & Patel, LLP acted as legal advisor for Sysorex Global Holdings Corp. Scott Gordon of CorProminence LLC acted as the public relation advisor in the transaction. Russ Workman of America's Growth Capital LLC acted as financial advisor for AirPatrol Corporation.
Sysorex Global Holdings Corp. (OTCPK:SYRX) completed the acquisition of AirPatrol Corporation for $29.3 million on April 18, 2014. As a part of consideration, Sysorex paid $6.3 million in cash to former stockholders, noteholders and other creditors of AirPatrol, issued 1.04 million (post-split) shares as a part of consideration to former stockholders, which included 0.82 million paid to holders of Series A Preferred Stock and holders of similar preferential rights, directors, and continuing officers of AirPatrol.
