The consideration is on a cash and debt free basis. FinTech Group will pay €60 million in cash and remaining will be satisfied through issuance of up to 7.5 million shares. FinTech Group simultaneously completed the acquisition of 9.4% stake in DEGIRO B.V. by paying €23.6 million from its own funds. Following acquisition, flatex Chief Executive Officer Frank Niehage will join DEGIRO supervisory board. The closing of the transaction is subject to approval from competent regulatory authorities and is expected in second quarter of 2020. On July 21, 2020, De Nederlandsche Bank granted flatex AG the declaration of no-objection (DNO) on the acquisition. The formal closing process has started and will be completed by the end of July.
