The Notes are convertible into a maximum of 331,917 Ordinary Shares of the company at a conversion value of AUD 9.04 and minimum Conversion value of AUD 3.50. The Notes carry an interest rate of 12% per annum including capitalized interest of AUD 161,710. The first interest payment date is April 30, 2027. The Notes will mature on April 30, 2027. The free attaching Options, being 150,000 options for each AUD 500,000 face value in convertible notes, have an exercise price of AUD 7.59 and will expire on May 5, 2027. The options will be exercised into 300,000 Ordinary Shares of the company. The Company confirms this proposed issue of securities falls within the Company’s 15% placement capacity under Listing Rule 7.1. The Note is convertible to ordinary shares at AUD 9.04. The issue price may be less than AUD 9.04 if the Company undertakes a placement of ordinary shares at a lower price at any time until the expiry date, in which case the conversion price will be at a 30% discount to the placement price, with a conversion price floor of AUD 3.50 per share. The investors will also receive 300,000 unlisted Options (150,000 options per AUD 500,000 invested) with a strike price of AUD 7.59. These unlisted options expire on May 5, 2027. These options will be issued after shareholder approval at the next meeting of shareholders.

お知らせ • Jul 22Audio Pixels Holdings Limited Announces Board ChangesAudio Pixels Holdings Limited announced the resignation of Mr. Mark Ureda as Director effective 16 July 2024. Mr. Ureda has resigned to pursue a range of other interests and the Board thanks Mr. Ureda for his contribution since joining the Board in July 2023. The Company announced that Mr. Shawn van Boheemen will join the Audio Pixels Holdings Limited ("AKP") Board as an independent Non- Executive Director, effective 16 July 2024. Mr. van Boheemen will continue to act as Company Secretary and Chief Financial Officer of the Company. Mr. van Boheemen brings to the company 30 years experience in commercial finance leadership positions with both Australian and multinational organizations across a range of healthcare, biotech, manufacturing, service-based and financial services industries. His experience includes ASX and ASIC reporting, SEC reporting in the US, capital raising and financing, compliance and regulatory affairs, internal and external audit, taxation, business and financial analytics, intellectual property protection, intellectual property protection, and regulatory and financial reporting both in Australia and the US. Mr. van Boheemen holds a Master of Commerce degree with a major in Accounting (UWS), a Bachelor of Business degree in Accounting and Commercial Law (UWS) and is a Fellow of the Australian Society of Certified Practicing Accountants as well as a Justice of the Peace in NSW. Mr. van Boheemen is currently the CFO of Noxopharm Limited, and a non- executive director of Phoslock Limited, and has wide experience in listed public companies and funds management. Mr. Ureda brings to the company extensive executive experience in audio systems, technology trends and product strategies. In 2010 he joined Harman International as president of JBL Professional. He subsequently served as VP/CTO and then senior vice president of Harman Professional. He retired in 2018 and joined Biamp Systems as executive advisor and continues to serve on the boards of Loud Audio and Bose Professional. Prior to joining Harman, Mr. Ureda was senior vice president of corporate strategy at Northrop Grumman specializing in mergers and acquisitions and held board positions at Navia Aviation AS, and Remotec UK Limited. AKP also announces the retirement of Mr. Ian Dennis as Director and Company Secretary effective 31 July 2023. Mr. Dennis has been a Director and Company Secretary since the incorporation of the Company on 5 September 2000 and the Board thanks him for his contribution over the last 23 years and wishes him well in his retirement. Mr. Shawn VanBoheemen will become Company Secretary and Chief Financial Officer effective from 31 July 2023 on a part time basis.
