The consideration is on a cash free, debt free basis and subject to a deduction of £5.1 million of advanced payments received in respect of future revenue. The net proceeds of the Disposal (including the deferred consideration) are expected to be £6.9 million. The £2 million of deferred consideration is contingent on the commencement of potential new contracts expected to take place within the next 12 months. The Board intends to use the cash proceeds from the Disposal for a combination of Share Buy Backs and increasing funding capacity for the Group's successful organic growth strategy. As per the mandate, the company is authorized to repurchase up to 22,378,643 shares, representing 15% of its issued share capital. The minimum price which may be paid for a share is £0.1 and the maximum price which may be paid for a share is an amount equal to not more than 105% of the average of the middle market quotations for the shares as derived from the AIM Appendix of the Daily Official List of London Stock Exchange for five business days before the day on which the purchase is made or an amount equal to the higher of the price of the last independent trade of a share and the highest current independent bid for a share on the trading venue where the purchase is carried out.
