(TSE: TV) made an offer to acquire 68.5% stake in NetStar Communications from Capital Communications CDPQ, Stephen Bronfman, Reitmans (Canada) Limited (TSX:RET.A) and Netstar managers led by Chief Executive Officer Gordon Craig for approximately CAD 390 million on February 5, 1999. The offer is the result of ESPN's decision to exercise its right to arrange for another third-party to make a new offer for NetStar. ESPN is shareholder holding 31.5% stake. Capital Communications CDPQ, Stephen Bronfman, and Reitmans (Canada) Limited hold 22.5%, 22.5%, and 16.5% respectively in Netstar. Gordon Craig and a management team hold 6.5% stake in Netstar. The purchase was bank financed by a syndicate led by The Toronto-Dominion Bank, and included The Bank of Nova Scotia and the Canadian Imperial Bank of Commerce. The full transaction is financed through credit facility worth CAD 719 million. For the year ended April 30, 1998, NetStar Communications Inc. had annual revenue of CAD 258.75 million, total asset of CAD 628.07 million, net loss of CAD 2.28 million, EBIT of CAD 58.34 million, EBITDA of CAD 82.26 million, minority interest of CAD 2.29 million, total debt of CAD 549.2 million, and total common equity of CAD 31.54 million. The transaction is subject to acceptance of approval by NetStar shareholders other than ESPN, approval by Competition Act condition and other regulatory conditions. As of February 10, 1999, the major Canadian shareholders of NetStar Communications Inc. including Capital Communications CDPQ and Reitmans (Canada) Limited accepted CTV Inc.'s takeover offer, allowing the broadcaster to formally begin seeking regulatory approval. The transaction is expected to close on or around March 31, 1999. Newcrest Capital Inc. acted as financial advisor to CTV. CTV Inc. (TSE: TV) completed the acquisition of 68.5% stake in NetStar Communications from Capital Communications CDPQ, Stephen Bronfman, Reitmans (Canada) Limited (TSX:RET.A) and Netstar managers led by Chief Executive Officer Gordon Craig for approximately CAD 410 million on March 5, 1999. Reitmans (Canada) Limited received CAD 93 million from the transaction. On March 24, 2000, CTV Inc. received the CRTC decision on the application to acquire NetStar Communications Inc. The CRTC has approved CTV's application with certain conditions, including the future of CTV Sportsnet. (TSE: TV) completed the acquisition of 68.5% stake in NetStar Communications from Capital Communications CDPQ, Stephen Bronfman, Reitmans (Canada) Limited (TSX:RET.A) and Netstar managers led by Chief Executive Officer Gordon Craig for approximately CAD 410 million.CTV Inc. (TSE: TV) made an offer to acquire 68.5% stake in NetStar Communications from Capital Communications CDPQ, Stephen Bronfman, Reitmans (Canada) Limited (TSX:RET.A) and Netstar managers led by Chief Executive Officer Gordon Craig for approximately CAD 390 million on February 5, 1999. The offer is the result of ESPN's decision to exercise its right to arrange for another third-party to make a new offer for NetStar. ESPN is shareholder holding 31.5% stake. Capital Communications CDPQ, Stephen Bronfman, and Reitmans (Canada) Limited hold 22.5%, 22.5%, and 16.5% respectively in Netstar. Gordon Craig and a management team hold 6.5% stake in Netstar. The purchase was bank financed by a syndicate led by The Toronto-Dominion Bank, and included The Bank of Nova Scotia and the Canadian Imperial Bank of Commerce. The full transaction is financed through credit facility worth CAD 719 million. For the year ended April 30, 1998, NetStar Communications Inc. had annual revenue of CAD 258.75 million, total asset of CAD 628.07 million, net loss of CAD 2.28 million, EBIT of CAD 58.34 million, EBITDA of CAD 82.26 million, minority interest of CAD 2.29 million, total debt of CAD 549.2 million, and total common equity of CAD 31.54 million. The transaction is subject to acceptance of approval by NetStar shareholders other than ESPN, approval by Competition Act condition and other regulatory conditions. As of February 10, 1999, the major Canadian shareholders of NetStar Communications Inc. including Capital Communications CDPQ and Reitmans (Canada) Limited accepted CTV Inc.'s takeover offer, allowing the broadcaster to formally begin seeking regulatory approval. The transaction is expected to close on or around March 31, 1999. Newcrest Capital Inc. acted as financial advisor to CTV. CTV Inc. (TSE: TV) completed the acquisition of 68.5% stake in NetStar Communications from Capital Communications CDPQ, Stephen Bronfman, Reitmans (Canada) Limited (TSX:RET.A) and Netstar managers led by Chief Executive Officer Gordon Craig for approximately CAD 410 million on March 5, 1999. Reitmans (Canada) Limited received CAD 93 million from the transaction. On March 24, 2000, CTV Inc. received the CRTC decision on the application to acquire NetStar Communications Inc. The CRTC has approved CTV's application with certain conditions, including the future of CTV Sportsnet. On March 27, 2000, CTV's Board of Directors voted to accept the CRTC's decision approving the sale of 68% of NetStar Communications Inc. to CTV Inc.
お知らせ • Sep 03Shares of Reitmans (Canada) Limited to Transition from TSX to the TSX Venture ExchangeIn accordance with the rules of the Toronto Stock Exchange (the "TSX"), trading in the Reitmans (Canada) Limited's common shares and Class A non-voting shares was suspended on May 19, 2020 following the issuance of the Initial Order. It is expected that the Company's shares will be delisted from the TSX, effective as at the close of business on July 29, 2020. The Company is currently working to transition the trading of its shares from the TSX to the TSX Venture Exchange (the "TSX-V"), which transition is expected to take effect by the second week of August, 2020. While the Company expects that its shares will transition from the TSX to the TSX-V, there is no guarantee that such transition will occur.
