The consideration will comprise of a cash offer of ZAR 4.0 per share and the transaction will be effected through a scheme of arrangement. If the Scheme fails to become operative, a standby general offer will be made to acquire Tower shares for ZAR 4.0 per share which will be conditional on RDC receiving enough acceptances that RDC will obtain control of Tower. RDC intends to fund the transaction consideration of BWP 980 million (approximately ZAR 1.2 billion) using its own capital resources, funded by way of a combination of debt and equity, through additional long-term debt funding and a rights offer to RDC unit holders to raise up to BWP 730 million (approximately ZAR 945 million) of new equity. RDC has received written confirmation from a select number of existing unitholders that they will follow their rights and subscribe for additional RDC linked units in respect of 100% of the Potential Rights Offer. Tower will be delisted conditional on shareholders’ approval. RDC has engaged with key Tower shareholders and obtained a combination of irrevocable letters and in-principal support to vote in favour of all resolutions required to implement the Potential Transaction from 69% of Tower shareholders. Prescient Investment Management (Pty) Ltd., Allan Gray Limited, and Bridge Fund Managers representing 57.7% of the shareholding of Tower have entered into irrevocable letters to support the transaction. Bogolo Kenewendo did not put her name forward for re-election at the AGM due to constraints on her time because of her many international and local commitments. The Board sincerely thanked Ms Kenewendo for her valuable contribution during these transformative years of the company. Lesang Magang, having served on the RDC Board for an extended period, announced that he would not be putting his name forward for re-election at the AGM. The Board is sincerely grateful for Mr. Magang'sexceptional contribution, support and guidance over the last twenty years. Sithabile Mathe has been appointed as Independent Non-Executive Director. Ms Mathe has 23 years of post-graduate experience in the built environment, working with both design and implementation of projects. She qualified in Architecture in Glasgow, Scotland. In 2006, she established Moralo Designs, an Architectural Practice which now offers Urban Design, Architectural Desgn, Landscape Design, Interior Design and Project Management services. Ms Mathe is registered with 4 professional bodies. She is the former Chairperson of the Architect's Registration Council of Botswana, the former Chairperson of the Botswana Housing Corporation Board and the former Treasurer on the Architects Association of Botswana Executive Committee. She is also a former Council Member for the Commonwealth Association of Architects (CAA) asVice President Africa Region and the immediate past Chair of CAA Validation. A warm welcome is extended to Ms Mathe, who brings a new skillset to the Board of RDC. Following an evaluation of the five Board Committees at the end of 2022, it was agreed that the Property Committee would be incorporated within the Investment Committee, which has now taken place. The aforementioned changes to the Board have prompted changes to the composition of the four Committees, whose Chairs are confirmed as follows: Nicola Milne remains Chair of the Audit and Risk Committee. Andrew Bradley remains Chair of the combined Investment and Property Committee. Federica Giachetti has been appointed as Chair of the ESG Committee. お知らせ • May 28RDC Properties Limited (BSM:RDCP) agreed to acquire Tower Property Fund Limited (JSE:TWR) from Prescient Investment Management (Pty) Ltd., Allan Gray Limited, Bridge Fund Managers, and other for ZAR 1.3 billion.RDC Properties Limited (BSM:RDCP) made a non-binding expression of interest to acquire Tower Property Fund Limited (JSE:TWR) from Prescient Investment Management (Pty) Ltd., Allan Gray Limited, Bridge Fund Managers, and other for ZAR 1.3 billion on May 27, 2021. The consideration will comprise of a cash offer of ZAR 4.0 per share and the transaction will be effected through a scheme of arrangement. If the Scheme fails to become operative, a standby general offer will be made to acquire Tower shares for ZAR 4.0 per share which will be conditional on RDC receiving enough acceptances that RDC will obtain control of Tower. RDC intends to fund the transaction consideration of BWP 980 million (approximately ZAR 1.2 billion) using its own capital resources, funded by way of a combination of debt and equity, through additional long-term debt funding and a rights offer to RDC unit holders to raise up to BWP 730 million (approximately ZAR 945 million) of new equity. RDC has received written confirmation from a select number of existing unitholders that they will follow their rights and subscribe for additional RDC linked units in respect of 100% of the Potential Rights Offer. Tower will be delisted conditional on shareholders’ approval. RDC has engaged with key Tower shareholders and obtained a combination of irrevocable letters and in-principal support to vote in favour of all resolutions required to implement the Potential Transaction from 69% of Tower shareholders. Prescient Investment Management (Pty) Ltd., Allan Gray Limited, and Bridge Fund Managers representing 57.7% of the shareholding of Tower have entered into irrevocable letters to support the transaction. An Independent Board comprising of John Bester, Andrew Dalling, Athi Magwentshu, Nicola Milne, and Raven Naidoo has been formed by the Board of Directors of Tower to consider and engage with RDC regarding the transaction.
