The deferred consideration may be satisfied by issuing shares, subject to shareholder approval and a floor price of $0.70 per share. The agreement also includes a 2.0% Net Smelter Return (NSR) royalty on all metals. The acquisition will be funded by a $19.8 million two-tranche placement. The proceeds from the equity raising will also be used to fund further exploration activities. James Bay Minerals will be renamed Black Bear Minerals under the new ASX Code: BKB. The asset purchase agreement may be terminated if completion does not occur by November 30, 2025. The deferred consideration may be satisfied by issuing shares, subject to shareholder approval and a floor price of $0.70 per share. The agreement also includes a 2.0% Net Smelter Return (NSR) royalty on all metals. The acquisition will be funded by a $19.8 million two-tranche placement. The proceeds from the equity raising will also be used to fund further exploration activities. James Bay Minerals will be renamed Black Bear Minerals under the new ASX Code: BKB. The asset purchase agreement may be terminated if completion does not occur by November 30, 2025. The completion of the transaction is subject to conditions including a capital raising of no less than $9.9 million, necessary shareholder approvals, and the release of all encumbrances affecting the project.
