Under the terms of the agreement, Arctic Wolf will acquire the Company’s Cylance® endpoint security assets for a purchase price consisting of $160 million of cash, subject to certain purchase price adjustments set forth in the Equity and Asset Purchase Agreement (the “Cash Consideration”), and 5.5 million common shares in Arctic Wolf (the “Equity Consideration”). After giving effect to the purchase price adjustments to the Cash Consideration, the Company will receive approximately $80 million of the Cash Consideration and the Equity Consideration at closing of the transaction, and approximately $40 million of the Cash Consideration on the one-year anniversary of closing. In addition, the Equity and Asset Purchase Agreement provides that, on the closing date of the transaction, the Company and Arctic Wolf will enter into (i) a non-exclusive patent license agreement, (ii) a partner agreement pursuant to which the Company will agree to resell certain products and services of Arctic Wolf, and (iii) a strategic customer support agreement, pursuant to which Arctic Wolf will agree to provide certain customer support services to the Company. The proposed transaction is subject to the provision of customary closing deliverables and satisfaction of customary conditions and is expected to close in BlackBerry’s fourth fiscal quarter. Foote holds an MBA from Imperial College Business School, London and is a Chartered Accountant. Foote will succeed Steve Rai, who has decided to pursue other opportunities outside of the company. Giamatteo, and the rest of the BlackBerry Board, thank Steve for his contributions to the Company since 2014 and wish him well in his future endeavors. His roles over the past 3 decades include a wide array of functions, including software, hardware, engineering, marketing, and sales. Most recently, from July 2021 to January 2023, Mr. Brace served as President and CEO of leading Canadian wireless communications designer, Sierra Wireless Inc., where he led the company through operational improvements that increased profits by more than 100% and grew revenue by more than 40%, culminating in a successful acquisition by Semtech Corporation. Prior to this, Mr. Brace served as Executive Vice President at Veritas Technologies, President of Seagate Technology's Cloud Systems and Electronic Solutions, Executive Vice President at LSI Corporation, and General Manager at Intel Corporation. Mr. Brace holds a Bachelor of Applied Science degree in Computer Engineering from the University of Waterloo and a Master's degree in Electrical Engineering from California State University, Sacramento. The closing of the Transaction is subject to customary conditions, including approval from the Toronto Stock Exchange and the New York Stock Exchange. The Transaction is expected to be completed on or before November 17, 2023. The offer and sale of the Extension Debentures, the Subsidiary Guarantees and the Common Shares issuable upon conversion of the Extension Debentures, if any, will be made to accredited investors in reliance on the exemption from registration under Section 4(a)(2) of the U.S. Securities Act of 1933, as amended (the "Securities Act"), and will not be registered pursuant to the Securities Act or any state securities laws.

Blackberry Limited, et al., Case No. 13 Civ. 7060 (CM) (KHP) pending against the Company and certain of its former officers in the U.S. District Court for the Southern District of New York. The consolidated class action complaint was filed in October 2013, in the Company’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on April 1, 2022. The agreement in principle was reached following a voluntary mediation process resulting in the parties’ acceptance of the mediator’s recommendation for settlement. The court has granted the parties’ jointly request to adjourn further proceedings in the matter pending approval of the final settlement. The agreement in principle contemplates an aggregate cash payment by the Company of $165 million to settle the claims brought on behalf of all persons who purchased or otherwise acquired BlackBerry shares on the NASDAQ between March 28, 2013 and September 20, 2013. The parties have agreed to negotiate in good faith to execute a definitive stipulation of settlement and related documents to be filed with the court. The Company anticipates that the stipulation of settlement will provide a full release of all claims against all defendants, including the Company and its officers, and will expressly deny any liability, wrongdoing or responsibility by any of the defendants. The Company anticipates that, upon final approval of the settlement, the litigation will be dismissed with prejudice. Approval by the court, notice to the putative class, and the satisfaction of customary conditions to effectiveness may take several months. While BlackBerry believes that the allegations in the case were without merit, it also believes that eliminating the distraction, expense and risk of continued litigation is in the best interests of the Company and its shareholders.

お知らせ • Dec 13BlackBerry Limited Prevails Against Mobileiron's Baseless Extortion ClaimsBlackBerry Limited announced that California federal court approved a stipulation submitted by MobileIron dismissing with prejudice claims MobileIron filed earlier this year alleging that BlackBerry attempted to extort MobileIron into entering a patent licensing agreement. As a result, MobileIron will have to pay BlackBerry's costs and attorney's fees in defending against those claims. In its complaint filed earlier this year, MobileIron claimed that BlackBerry attempted "civil extortion" by sending MobileIron notices of patent infringement. But as BlackBerry maintained throughout the suit, BlackBerry's efforts to enforce its patent rights were at all times proper, and MobileIron's claims to the contrary were both abusive and meritless. The dismissal of MobileIron's claims vindicates BlackBerry's position and the propriety of BlackBerry's licensing practices.

BlackBerry IVY is a scalable, cloud-connected software platform that will allow automakers to provide a consistent and secure way to read vehicle sensor data, normalize it, and create actionable insights from that data both locally in the vehicle and in the cloud. Automakers can use this information to create responsive in-vehicle services that enhance driver and passenger experiences. BlackBerry IVY addresses a critical data access, collection, and management problem in the automotive industry. Modern cars and trucks are built with thousands of parts from many different suppliers, with each vehicle model comprising a unique set of proprietary hardware and software components. These components, which include an increasing variety of vehicle sensors, produce data in unique and specialized formats. The highly specific skills required to interact with this data, as well as the challenges of accessing it from within contained vehicle subsystems, limit developers’ abilities to innovate quickly and bring new solutions to market. BlackBerry IVY will solve for these challenges by applying machine learning to that data to generate predictive insights and inferences, making it possible for automakers to offer in-vehicle experiences that are highly personalized and able to take action based on those insights. BlackBerry IVY will support multiple vehicle operating systems and multi-cloud deployments in order to ensure compatibility across vehicle models and brands. It will build upon BlackBerry QNX’s capabilities for surfacing and normalizing data from automobiles and AWS’s broad portfolio of services, including capabilities for IoT and machine learning. BlackBerry IVY will run inside a vehicle’s embedded systems, but will be managed and configured remotely from the cloud. As a result, automakers will gain greater visibility into vehicle data, control over who can access it, and edge computing capabilities to optimize how quickly and efficiently the data is processed. With BlackBerry IVY’s integrated capabilities, automakers will be able to deliver new features, functionality, and performance to customers over the lifetime of their cloud-connected vehicles, as well as unlock new revenue streams and business models built on vehicle data. For instance, BlackBerry IVY could leverage vehicle data to recognize driver behavior and hazardous conditions such as icy roads or heavy traffic and then recommend that a driver enable relevant vehicle safety features such as traction control, lane-keeping assist, or adaptive cruise control. IVY could then provide automakers with feedback on how and when those safety features are used, allowing them to make targeted investments to improve vehicle performance. Additionally, drivers of electric vehicles could choose to share their car’s battery information with third-party charging networks to proactively reserve a charging connector and tailor charging time according to the driver’s current location and travel plans. BlackBerry IVY could also provide insights to parents of teenage drivers who may choose to receive customized notifications based on insights from vehicle sensors when the number of passengers in the vehicle changes, when the driver appears to be texting, distracted, or not observing speed limits, or when the vehicle occupancy level rises above the parents’ desired safety threshold. Similarly, parents of infants could receive a reminder to engage the child safety lock when the vehicle detects a child in the rear seat.

But it could also deal a major setback to Ottawa’s innovation strategy efforts, marking the second time in a decade that valuable IP assets from one of Canada’s leading research-and-development-driven companies have been sold off. If, as expected, a deal results in ownership of tens of thousands of BlackBerry patents passing into foreign hands, assets potentially worth hundreds of millions of dollars whose creation were partially subsidized by federal research and development tax credits could leave the country along with prospects of generating any further benefit to the economy. A source familiar with the situation told The Globe the company isn’t certain what price it will get, but it’s believed the portfolio could be worth more than $450-Million - a significant size for a deal in the global patent trade, but a fraction of the $4.5-Billion a consortium led by Apple Inc. Apple Inc. paid in 2011 for a trove of 6,000 Nortel Networks patents. The Globe is not identifying the source as they are not authorized to speak publicly on the matter. A BlackBerry spokesman declined comment, saying the Waterloo, Ont. company “does not comment on rumour or speculation”. A sale of most BlackBerry patents would result in “a sharp change of business direction because they’ve been quite successful licensing their portfolio,” said Louis Carbonneau, Chief Executive officer with Tangible IP, a Seattle patent brokerage and strategic advisory firm.
