New York Community Bancorp, Flagstar get Fed approval for merger

New York Community Bancorp (NYSE:NYCB) and Flagstar Bancorp (NYSE:FBC) received Federal Reserve approval for NYCB's acquisition of FBC, the companies announced Monday. The Fed approval marks the last approval needed for the deal to close. The deal is expected to close on Dec. 1, according to a statement. The Fed news comes after the banks received approval from the Office of the Comptroller of the Currency for NYCB's late last month.

Deal spread in Flagstar/New York Community widens on widens on report on potential discrimination lawsuit

The spread in N.Y. Community Bancorp's (NYSE:NYCB) planned purchase of Flagstar (NYSE:FBC) widened slightly amid a report that the Dept. of Justice may be considering a lawsuit against Flagtsar over allegations of racial discrimination. The DOJ may be mulling a racial discrimination suit on allegations that the bank's black customers paid more for home loans than others, according to traders, who cited a Capitol Forum report that's circulating. The deal spread widened to $1.81. New York Community (NYCB) agreed to purchase Flagstar (FBC) last April in a $2.6B stock deal at the time. NYCB CEO Thomas Cangemi said in late July during the Q2 earnings call that both sides are fully committed to completing the transaction as soon as possible. Flagstar (FBC) didn't immediately respond to Seeking Alpha email request for comment. The report comes after the DOJ last Wednesday announced an agreement to resolve allegations that Lakeland Bank  (LBAI) allegedly engaged in a pattern or practice of lending discrimination by “redlining” in the Newark metropolitan area.

Flagstar press release (NYSE:FBC): Q2 Non-GAAP EPS of $1.17 beats by $0.09. Revenue of $324M (-25.5% Y/Y) beats by $130.57M. Expanded net interest margin by 58 basis points to 3.69 percent. Grew average commercial loans, excluding warehouse loans, by 9 percent compared to the first quarter. Expanded portfolio of loans serviced or subserviced by 10 percent to nearly 1.4 million accounts and $0.3 trillion in UPB. Maintained strong asset quality with no nonperforming commercial loans at quarter-end and a 42 percent reduction in forbearance-related delinquent loans.

New York Community Bancorp: I'm Buying This 6.8% Yielder Again

New York Community Bancorp has slid in recent months. One factor is due to the Flagstar acquisition not closing yet. The other is a sell-off in income securities more generally.
