St. James's Place plc Appoints Evelyn Bourke as Independent Non-Executive Director and Member of the Group Audit Committee and Group Remuneration Committee In compliance with UK Listing Rule 6.4.9R(2), Admiral announces that with effect from 1 March 2026, Evelyn Bourke, Independent Non-Executive Director of Admiral, has been appointed as an Independent Non-Executive Director of St. James's Place plc. Upon appointment, Evelyn will be a member of the St. James's Place plc Group Audit Committee and Group Remuneration Committee. Evelyn has wide-ranging senior leadership experience gained during her executive career with companies including Friends Life plc, Standard Life, Chase de Vere and Tillinghast Towers Perrin (now part of WTW). Her most recent executive role was as group CEO at Bupa from July 2016 to December 2020. Previous non-executive positions held by Evelyn include directorships at AJ Bell plc and IFG Group plc. Evelyn is a qualified actuary and holds an MBA from London Business School. Evelyn is currently a non-executive director of Marks & Spencer Group plc and chairs their Audit and Risk committee. Rooney has extensive experience in the consumer sector having held executive and non-executive roles at retail and hospitality organisations. He previously served as chief executive officer at Greene King, and senior independent director (SID) of WM Morrison Supermarkets Limited (previously WM Morrison Supermarkets PLC). Rooney is currently non-executive Chair of RedCat Pub Company Limited and Purity Soft Drinks Ltd. St. James's Place plc (LSE:STJ) commences an Equity Buyback for 54,860,479 shares, representing 10% of its issued share capital, under the authorization granted on May 15, 2024. St. James's Place plc (LSE:STJ) commences share repurchases on August 27, 2024, under the program mandated by the shareholders in the Annual General Meeting held on May 15, 2024. As per the mandate, the company is authorized to repurchase up to 54,860,479 shares, representing 10% of its issued share capital. The maximum price which may be paid for an ordinary share is an amount equal to 105% of the average of the middle market quotations for the ordinary shares taken from the London Stock Exchange Daily Official List for five business days immediately preceding the day on which that share is contracted to be purchased and an amount equal to the higher of the price of the last independent trade and the highest current independent bid on the London Stock Exchange. The minimum price which may be paid for an ordinary share is 1p. The repurchased shares will be cancelled or held as treasury shares. Unless previously renewed, varied or revoked, the program will be valid till the next Annual General Meeting in 2025. As at May 13, 2024, the company had 548,604,790 issued and outstanding shares.
On July 30, 2024, the company initiated a Market Repurchase. Under the program, the company entered into an agreement with its retained corporate broker J.P. Morgan Securities plc (JPMS plc) to repurchase £32.9 million worth of its shares. The purpose of the Share Buyback program is to reduce the share capital of the Group. Any Ordinary Shares purchased will be cancelled, and therefore will reduce the issued share capital of the Group accordingly. Dominic joined the Board in October 2022. He was subsequently announced as the co-founder and Executive Chairman of Aptia, a newly formed US employee benefits and UK pension administration business in June 2023. In order to be able to commit the time required to this new role, Dominic has decided that he will no longer be able to devote the necessary time to the Board of St. James's Place plc.
