Rostelecom Reportedly in Talks to Buy MegaFon from USM Public Joint Stock Company Rostelecom (MISX:RTKM) is holding negotiations to acquire Public Joint Stock Company MegaFon (MISX:MFON) from USM Holdings Limited with other investors also interested, business daily Kommersant reported on January 30, 2023 quoting sources. USM has already started restructuring its telecommunications assets, the daily said. A source close to USM said that the offers to buy MegaFon have been coming for years. “It is logical that there are always bidders for the company. Any offer, certainly, and sale options will be considered, but, of course, everything depends on conditions," the source said. The Federal Antimonopoly Service told the daily it has not received an application from Rostelecom to acquire MegaFon. Mobile Research Group leading analyst Eldar Murtazin told PRIME that the country's laws would hardly allow Rostelecom to acquire MegaFon that will result in creation of a monopolist and restriction of competition. “The deal is impossible in the framework of the existing laws," Murtazin said, adding that the limitation may be lifted in theory, but is complicated in practice. “If the government wanted to back its efforts in the telecoms sphere, it would be easier for them to buy any operator with the help of other firms. Public Joint Stock Company Rostelecom Recommends to Pay Final Cash Dividend on Ordinary Shares for the Year 2021 Public Joint Stock Company Rostelecom announces that its Board of Directors has recommended the AGM to approve a final cash dividend for Fiscal Year 2021 on both ordinary and preferred shares. The total dividend payment would amount to RUB 15.9 billion (50% of net profit for Fiscal Year 2021 in accordance with IFRS[1]), or RUB 4.56 per share for both preferred and ordinary shares. The Board of Directors has also proposed the dividend record date to be set on 20 July 2022. The Company's 2022 Annual General Meeting will be held in absentia. Rostec's Chief Executive Officer Confirms Interest in AKADO Rostec Corporation, Chief Executive Officer Sergei Chemezov has confirmed that the state corporation is interested in buying AKADO Telekom, but said a deal might not happen. "We work in high technologies. There are companies that we're interested in, Akado is one of them. Negotiations are being held, but it's early to say. Maybe we won't buy anything," Chemezov said in an interview with RBC. AVK Investments, a company affiliated with former Renova Group Executive Maxim Mayorets, has owned 51% of JSC Akado Holding since the middle of 2020, and Viktor Vekselberg's Renova owns the other 49%. Business daily Vedomosti reported in May 2021 that Rostec was in the final stage of negotiations with Akado's shareholders. Two possibilities were being discussed, the paper said, citing sources. The first is to sell Rostec 100% of Akado shares, while the second, "more probable scenario" calls for selling 75% of shares to Rostec, with Mayorets selling his whole 51% stake and Renova selling 24% out of its 49%. A valuation of about RUB 5 billion for 75% of Akado, not including debt, has been mentioned in the talks, the paper said. The possible sale of Akado has been discussed for years.
