IndusInd Bank Puts on Block INR 15.73 Billion Unsecured Loans At 95% Discount IndusInd Bank Limited (NSEI:INDUSINDBK) has put INR 15.73 billion worth of unsecured microfinance loans up for sale at a reserve price of INR 0.85 billion, signalling it is willing to take a huge haircut amid asset quality pressures in its microfinance book. The reserve bid price suggests a minimal recovery rate of 5.04%. The lender has invited bids on a 100% cash basis. The bid document uploaded on the bank’s website reveals that these loan accounts of more than 1.06 million borrowers have no collateral backing. “IndusInd Bank Ltd. (IBL) invites bids from all eligible purchasers for sale on ‘100% cash basis’ under public auction,” it read. Asset reconstruction companies (ARCs) are most likely bidders for the loan pool. IIHL to Raise $1.5 Billion to Fund RCap Buy, Increase Holding in IndusInd Bank Hinduja group-owned IndusInd International Holdings Ltd. (IIHL), the promoter of IndusInd Bank Limited (NSEI:INDUSINDBK), announced on July 3, 2023 its plans to raise $1.5 billion (about INR 123,000 million) to increase its stake in the lender to 26% from the current 15% as well as fund its proposed acquisition of debt-laden Reliance Capital Limited (NSEI:RELCAPITAL). IIHL said in a statement that the strategic decision of its board “opens boundless opportunities” to expand its business horizon in India and other global geographies in the banking, financial services and insurance (BFSI) sector. “Our aspirations will not be capital constrained as raising capital for IIHL is not an issue at all,” Ashok P Hinduja, chairman of IIHL, was quoted as saying in the statement. The promoters of IndusInd Bank are eligible to increase their shareholding in the bank, subject to the assessment of ‘fit and proper’ status by the Reserve Bank of India (RBI). Accordingly, the board of directors resolved to “undertake capital raise in a phased manner” to mobilise the required funds for infusion, the statement said. In November 2021, the RBI allowed promoters to hold up to 26% stake in banks, up from the previous cap of 15%. The decision came following recommendations from an internal working group, which had reviewed the ownership and corporate structures of private sector banks. Blackstone, ADIA Reportedly Are Likely Bidders for HDFC's Credila Sovereign wealth funds, private equity firms, and strategic investors are among 12-14 entities competing for a stake in Housing Development Finance Corporation Limited (BSE:500010)'s HDFC Credila Financial Services Limited, according to two people aware of the development. Abu Dhabi Investment Authority (ADIA), GIC Private Limited, Blackstone Inc. (NYSE:BX), BPEA EQT (formerly Baring Private Equity Asia), and Warburg Pincus LLC are some of the suitors that have expressed interest in acquiring a stake in HDFC Credila Financial Services Ltd. (Credila), the people said on the condition of anonymity. Among lenders, IndusInd Bank Limited (NSEI:INDUSINDBK) and Kotak Mahindra Bank Limited (BSE:500247) are considering a bid for Credila, one of the people said, adding that Tata Capital was also interested but might have decided against bidding due to the restricted shareholding structure.A steady increase in the number of Indians pursuing higher education, along with rising education costs both in India and abroad, has led to continued growth in education loan demand in the country. Warburg Pincus already owns a majority stake in rival education loan financier Avanse Financial Services Ltd, while Blackstone has a majority stake in mortgage lender Aadhar Housing Finance. BPEA EQT has a minority stake in RBL Bank, while GIC and ADIA have investments in several Indian lenders. GIC also has a stake in HDFC itself. Spokespersons for Blackstone and ADIA declined to comment, while email queries to spokespeople for BPEA EQT, Warburg Pincus, GIC, Tata Capital, Kotak, IndusInd Bank, and HDFC did not elicit a response. Hindujas May Up Stake in Indusind from 15% to 26% The promoters of IndusInd Bank Limited (BSE:532187)- the Hinduja Capital Limited- are likely to increase their stake in the bank as the Reserve Bank of India has decided to up the cap on promoters stake in a private sector bank to 26% from 15%. Welcoming RBI's decision, Ashok Hinduja, Chairman of IndusInd International Holdings Ltd. (IIHL), Mauritius, the promoter entity of IndusInd Bank, in a statement, said: “We eagerly await the operating guidelines as it gives the promoters an opportunity to inject capital to increase stake up to 26%". The RBI on November 26, 2021 had accepted one of the key recommendations of the Internal Working Group on ownership and corporate structure of private sector banks, whereby the cap on promoters' stake in the long run of 15 years may be raised from the current levels of 15% to 26% of the paid-up voting equity share capital. As of September 30, 2021, promoters hold 16.54% stake in IndusInd Bank. Of this, IIHL owns 12.6% and IndusInd Limited have 3.94%. The bank's promoters have previously said they would like to increase their stake to 26%. Hinduja observed that the increased promoter holding will lead to enhanced financial strength of the bank and its clients will be protected. “We believe this measure of increased promoter holding will be of benefit to all the stakeholders: the regulator, the banking institution and its clients, particularly at this time when the Indian economy is poised for exponential growth," he said.
