Until the transaction is completed, both companies will continue to operate independently with no expected disruption to customers, partners, or suppliers.
The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the third quarter of 2026. The transaction is immediately accretive to cash flow and adds approximately $275 million of order backlog.

The transaction is subject court-approved scheme of arrangement, approval by the shareholders of Transocean Ltd. and Valaris Limited, regulatory approvals and customary closing conditions.
