Sunshine Insurance Group Company Limited Announces Board and Committee Changes References are made to the announcements of Sunshine Insurance Group Company Limited dated March 26, 2025 and June 17, 2025 (the ‘Announcements’), as well as the circular of the Company dated May 27, 2025 (the ‘Circular’), in relation to, among others, the election of Mr. WANG Xiaopeng as an executive Director of the sixth session of the board of directors (the ‘Board’). Unless the context otherwise requires, capitalized terms used herein shall have the same meanings as those defined in the Circular. The Board announced that the Company has recently received the Reply from the National Financial Regulatory Administration on the Qualification of WANG Xiaopeng as Director of Sunshine Insurance Group Company Limited (Jin Fu [2026] No. 57) issued by the National Financial Regulatory Administration (the ‘Reply’). According to the Reply, the National Financial Regulatory Administration has approved the qualification of Mr. WANG Xiaopeng as an executive Director of the Company, and his appointment shall be effective from January 29, 2026. From the same date, Mr. WANG Xiaopeng assumes position of the chairman of the Risk Management Committee under the Board, and Mr. LI Ke, the executive Director, ceases to serve as the chairman of the Risk Management Committee under the Board. Mr. WANG Xiaopeng was born in December 1973. He has served as the deputy general manager and chief auditor of the Company since February 2024 and served as a director of Sunshine Property and Casualty Insurance Co. Ltd. Sunshine Insurance Group Company Limited Announces Board Changes Sunshine Insurance Group Company Limited announced that at its board of directors announced that the company has recently received the Reply from the National Administration of Financial Regulation on the Qualification of HONG Qi of Sunshine Insurance Group Company Limited (Jin Fu [2023] No. 339) issued by the National Administration of Financial Regulation (the "Reply"). According to the Reply, the National Administration of Financial Regulation has approved the qualification of Mr. HONG Qi as an independent non-executive Director of the company, and the appointment shall be effective from October 20, 2023. Sunshine Insurance Group Company Limited Announces Resignation of Ma Guangyuan as Independent Non-Executive Director The board of directors of Sunshine Insurance Group Company Limited announced that the Company has received the resignation letter from Mr. MA Guangyuan, an independent non-executive director on January 13, 2023. As Mr. MA Guangyuan has served as an independent non- executive director of the Company for six consecutive years, pursuant to relevant regulatory provisions of the PRC, he has tendered his resignation as an independent non-executive director of the Company, the chairman and a member of the Nomination and Remuneration Committee, and a member of the Strategy and Investment Decision Committee of the Board.
