Axiata Group Bhd Announces Change of Chief Executive Officer, effective from June 1, 2026 Axiata Group Bhd has appointed Nik Rizal Kamil Nik Ibrahim Kamil as group chief executive officer (CEO) effective from June 1, succeeding Vivek Sood. Nik Rizal joined Axiata in January 2024 as group chief financial officer (CFO), bringing extensive experience and deep expertise across business finance, investments and accounting. He currently serves on the boards of several Axiata Group companies namely CelcomDigi Bhd, PT XLSMART Telecom Sejahtera Tbk, Robi Axiata PLC, EDOTCO Group Sdn Bhd and PT Link Net Tbk. Prior to his role in Axiata, Nik Rizal served as group CFO of RHB Bank Bhd since February 2021.Before that, he held the executive director role for investments at Khazanah Nasional Bhd, where he led key investment and divestment initiatives, value creation programmes and private equity strategies across domestic and international markets in the telecommunications, media and technology sector. Prior to Khazanah, Nik Rizal had spent a good part of a decade with Royal Dutch Shell group of companies in both the upstream and downstream sectors in Malaysia, Singapore and the United Kingdom. Axiata Group Reportedly Reactivates Plan to Sell Majority Stake in Edotco Group Axiata Group Berhad (KLSE: AXIATA) has reactivated a plan to sell its majority stake in Edotco Group Sdn Bhd in a deal that could value the telecom tower infrastructure company at roughly USD 2,000 million (MYR 8,450 million), sources say. A source tells The Edge that non-binding bids are due soon and that JPMorgan is managing the sale. The
investment bank did not immediately respond to an email seeking comment. According to the source, a few private equity and infrastructure funds are said to be interested in Edotco. Interested foreign companies are likely to partner with local firms to bid as part of a consortium. Axiata holds a 63% stake in Edotco. Edotco’s other shareholders are Khazanah Nasional Bhd, which has a 31.71% stake – through wholly-owned subsidiaries Pulau Kendi Investments Ltd. (21.14%) and Mount Bintang Ventures Sdn Bhd (10.57%) – and Retirement Fund Inc. (KWAP), with 5.29%. Khazanah is also Axiata’s biggest shareholder, with a 36.7% stake. News of a potential sale of Edotco had been circulating in the market since late last year, with key owners Axiata and Khazanah reportedly undecided over whether to opt for an initial public offering or outright sale. As in previous times, Axiata acknowledges that it intends to explore the potential monetisation of Edotco. “We previously informed investors of our intent to explore value illumination and potential monetisation of Edotco when appropriate. Khazanah-EPF Consortium Reportedly Seeks to Acquire Axiata's Stake in Edotco A consortium made up of Khazanah Nasional Bhd and the Employees Provident Fund of Malaysia (EPF) is believed to be looking at acquiring Axiata Group Bhd's (KL:AXIATA) 63% stake in telecommunications tower infrastructure company Edotco Group Sdn Bhd. This comes after years of talk that Axiata would monetise its investment in Edotco, whether through a public listing or an outright sale. The latest development points to the latter. Khazanah is creating a consortium with EPF to buy Axiata's stake in Edotco. This will help Axiata pare down its debts", says a person with knowledge of the plan. Khazanah and EPF had not replied to The Edge' s queries at press time. . Axiata planning to sell its stake in Edotco is not a recent development. There has been talk of an initial public offering since 2018. In 2020, Axiata's then president and group CEO Tan Sri Jamaludin Ibrahim said the listing of Edotco could take place in the next three to five years. This time, amid uncertainty surrounding US President Donald Trump's reciprocal tariffs on imported goods that rocked the capital markets, the listing route may not be a good idea. In 2022, the political upheaval in Myanmar posed a challenge to Axiata's plan to list Edotco. Its then president and group CEO Datuk Izzaddin Idris said it would be a bit of a challenge to list the telecom tower infrastructure company as long as the Myanmar operation was part of its portfolio. I think the bigger issue for me and the Edotco team is Myanmar " how that would be addressed if we were to seek a listing in any of the markets. Some markets may take a different view from the other more developed markets," he told the media in February 2022. Axiata, Sinar Mas Explore Merger Between XL and Smartfren Axiata Group Berhad (KLSE:AXIATA) has entered into a non-binding agreement with Indonesian firms to explore a merger of PT XL Axiata Tbk (IDX:EXCL) and PT Smartfren Telecom Tbk (IDX:FREN) to create a new entity (MergeCo). Axiata said it had signed a memorandum of understanding (MoU) with Wahana Inti Nusantara, PT, Global Nusa Data PT and Bali Media Telekomunikasi PT (collectively referred to as Sinar Mas) on the prospect. In a filing to Bursa Malaysia, Axiata noted the proposal is at an early stage of evaluation with both Axiata and Sinar Mas intending to remain as joint controlling shareholders of MergeCo. "With the intent to create a stronger telecommunications service provider in Indonesia, the proposed merger of XL Axiata and Smartfren is expected to bring together the combined scale, competencies, finances and deep telecommunication expertise of Axiata and the local scale and market knowledge of Sinar Mas to generate significant value. "Both principals are expected to wield an equitable influence over the strategic direction and operational decisions of MergeCo, bolstered by their respective strengths," it noted. There is no certainty that the ongoing discussions between the parties will result into any binding agreement nor the completion of the transaction, it said. "Axiata believes that MergeCo will have the strategic agility, competence and scale to meet increasing expectations and demand from consumers, businesses and the Indonesian public sector. "MergeCo is expected to deliver superior customer experience in the telecommunications sector and create additional shareholder value including through synergies from the combined operations of XL Axiata and Smartfren," it added. As per terms of transaction, Axiata Group Berhad will sell 533.409349 million shares at IDR 2700 per share. As at the date of this announcement and prior to the Disposal, Axiata Group Berhad holds 66.5% equity interest in XL.
In conjunction with the Disposal, George Raymond Zage III and Provident Capital Partners Pte. Ltd. has granted Axiata Group Berhad the option to purchase the 533,409,349 XL Shares from FIL at IDR2,700 per XL Share (“Call Option”). The Call Option is exercisable by AIISB in the event the three month VWAP of XL Share is less than IDR2,300 per XL Share on either March 31, 2022 or June 30, 2022. The Call Option shall be extinguished if the three month VWAP of XL Share exceeds IDR3,300 at any time during the period from January 1, 2022 to June 30, 2022.
Procap Partners Ltd and Tiga Investments Pte Ltd, acting as guarantors will unconditionally and irrevocably guarantee the discharge by the Buyer of its obligations under the SPA. Digi.Com Berhad (KLSE:DIGI) entered into an agreement to acquire Celcom Axiata Berhad from Axiata Group Berhad (KLSE:AXIATA) for MYR 18.2 billion on June 21, 2021. Under the terms, Axiata will transfer 1,237,534,681 ordinary shares in Celcom to Digi and Digi will issue 73,378,844 fully paid-up new ordinary shares to Telenor Asia as nominee of Axiata subject to, amongst others, the payment by Telenor Asia to Axiata of a cash consideration of MYR 297.9 million; 3,883,129,144 fully paid-up new ordinary shares to Axiata and a cash payment of MYR 1.7 billion to Axiata. Upon completion of the transaction, Telenor Asia and Axiata will each have equal shareholding of 33.10% in Digi. Digi intends to fund the Cash Consideration through internally generated funds and/or bank borrowings. Upon completion of the Proposed Merger, the composition of the Board of Digi is expected to be changed to reflect the participation of Axiata and Telenor Asia as controlling shareholders. Mohamad Idham Nawawi and Albern Murty will be appointed as Chief Executive Officer and Deputy Chief Executive Officer of the merged company respectively. Post completion of transaction, the name of “Digi.Com Berhad” will be changed to “Celcom Digi Berhad”, after receiving approvals from shareholders.
In 2020, Celcom reported revenue of MYR 6.2 billion, profit before tax of MYR 855.7 million, Profit attributable to owners of MYR 677.4 million, EBITDA of MYR 2.6 billion, total equity of MYR 299.5 million, total assets of MYR 12.6 billion. The Implied EV/FCF multiple is 15.3 times, Implied Price-to-earnings (“P/E”) multiple is 26.2 times, and Implied EV/EBITDA multiple is 9.5 times. The transaction is subject to approval from non-interested shareholders of Digi, shareholders of Axiata, SC, Bursa Securities, Minister of Communications and Multimedia, lenders/sukukholders of Axiata or Celcom, Bank Negara Malaysia and any other relevant parties and/or authorities.
