China Coal Energy Company Limited Declares Final Dividend for the Year Ended 31 December 2023, Payable 26 August 2024 China Coal Energy Company Limited at its AGM held on June 28, 2024 declared final dividend of RMB 0.442 per Share (H shares) inclusive tax in an aggregate amount of approximately RMB 5,860,214,700 for the year ended 31 December 2023. The final dividend of H Shares will be paid to the holders of H Shares whose names appear on the register of members for H Shares of the Company on Thursday, 11 July 2024 (the "Record Date"). The register of members of the Company will be closed from Monday, 8 July 2024 to Thursday, 11 July 2024 (both days inclusive), during which period no transfer of H Shares of the Company will be registered. In order to qualify for receiving the final dividend, all transfer documents of the holders of H Shares of the Company must be lodged with Computershare Hong Kong Investor Services Limited, the H share registrar of the Company in Hong Kong, at Rooms 1712-1716, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong no later than 4:30 p.m. on Friday, 5 July 2024. The Company has appointed Bank of China (Hong Kong) Trustees Limited as the receiving agent of H Shares in Hong Kong and will pay to such Receiving Agent final dividend declared for payment to holders of H Shares. China Coal Energy Company Limited Proposes Special Dividend On 30 May 2024, China Coal Energy Company Limited received a proposal issued by its controlling shareholder, China National Coal Group Corporation, on payment of special dividend and interim dividend for the year of 2024. Further distribute a special dividend of RMB 1.5 billion to all the shareholders of the Company, being a cash dividend of RMB 0.113 per share (tax inclusive) based on the total share capital of 13,258,663,400 shares as at 31 December 2023; the general meeting of the Company authorizes the board of directors of the Company (the "Board") to formulate and implement a specific interim dividend plan in accordance with the general meeting resolution and subject to the conditions for profit distribution. The proposed dividend amount shall not be less than 30% of the net profit attributable to the equity holders of the listed company in the first half of 2024 (whichever is lower under the China Accounting Standards for Business Enterprises and International Financial Reporting Standards), and shall not exceed the net profit attributable to the equity holders of the listed company in the corresponding period. Therefore, a meeting of the Board will be held on 12 June 2024, for the purpose of, among others, considering and approving the recommendation for declaration and payment of a special dividend to the Shareholders.
