Subex Limited Proposes Termination of GDRs & De-Listing Subex Limited announced that it has on June 30, 2022 applied to the London Stock Exchange (the LSE) for the cancellation of the admission to trading of its Global Depositary Receipts (the GDRs), each representing one ordinary share of the Company (each, a Share). The Company has also on June 30, 2022 applied to the Financial Conduct Authority (the FCA) for cancellation of the listing of the GDRs from the official list of the FCA. The Company has also on June 28, 2022 issued a notice to the Bank of New York Mellon (the Depositary) to terminate the Amended and Restated Deposit Agreement dated March 8, 2007 entered into between the Company and the Depositary (the Deposit Agreement). The notice period for termination of the Deposit Agreement is 90 days and the Deposit Agreement is due to be terminated on or about September 26, 2022. The Shares are listed on the Bombay Stock Exchange (BSE) and on the National Stock Exchange of India (NSE) and will continue to be listed on the BSE and the NSE following the termination of the Deposit Agreement and the GDR programme. The Company is proceeding with the delisting of its GDRs from the LSE further to the resolution of the Board of Directors of the Company on May 30, 2022 approving the termination of the GDR program due to the low volume of trading of the GDRs and the underlying outstanding equity shares not constituting more than 0.04% of the Company's issued and paid up equity shares as of March 31, 2022 (the Board Resolution). Subex Announces Partnership with Telefónica Subex announced a partnership with Telefónica to provide the latest version of ROC Fraud Management. As part of the engagement, the operator will be deploying Subex's ROC Fraud Management, to all opcos in Telefónica's Hispam unit: Argentina, Chile, Venezuela, Ecuador, Mexico, Peru, Uruguay, and Colombia. As a torchbearer of combatting fraud, Telefónica was keen to find the right partner that would enable them to transcend from fraud detection and management to a proactive fraud prevention approach. Through ROC Fraud Management, Telefónica can leverage the solution's Big Data Hadoop architecture to reduce fraud detection time, improve scalability, and ease integration with Telefónica's local data lakes. The solution will also enable Telefónica to reduce the Total Cost of Ownership (TCO), owing to its Open Source capabilities, and its low hardware footprint. Subex Launches Partner Ecosystem Management Platform Subex announced the launch of its Partner Ecosystem Management platform that will allow CSPs to accelerate their digital services portfolio expansion.
