Biffa Expects Cancellation of Listing of Shares from London Stock Exchange on 27 January 2023 On 27 September 2022, the boards of Biffa plc (Biffa) and Bears Bidco Limited (Bidco) announced, pursuant to Rule 2.7 of the Takeover Code, that they had reached agreement on the terms of a recommended cash offer for the entire issued and to be issued ordinary share capital of Biffa (the "Acquisition"). It is intended that the Acquisition will be effected by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme"). The shareholder circular relating to the Scheme (the "Scheme Document") was sent, or made available, to Biffa Shareholders on 21 October 2022. Suspension of listing of, and dealings in, Biffa Shares before markets open on 27 January 2023. Cancellation of listing of Biffa Shares is expected by 8:00 a.m. on 27 January 2023.
