Southern Sun, Liberty and Pareto will enter into various transaction agreements to conclude the Proposed Transaction and to govern the respective interests of Southern Sun and Pareto in the Proposed Transaction.
The transaction is contingent upon the fulfillment of standard conditions precedent by September 30, 2026, unless an alternative date is mutually agreed upon by the involved parties. These conditions include the execution of definitive transaction agreements to formalize the Proposed Transaction, securing necessary consents or waivers from existing debt providers related to Liberty, Pareto, and/or Southern Sun, and obtaining requisite governance and regulatory approvals, notably from the Competition Tribunal. These steps are essential to ensure the successful completion of the transaction.
