Mandiant (MNDT) ticked up 0.6% after a Nasdaq notice indicated Friday would be the last trading day as the company completes its sale to Google (NASDAQ:GOOGL). In July the U.S. Dept. of Justice grated earlier termination of the waiting period in connection with Google's (GOOGL) $5.4 billion planned acquisition of the cybersecurity firm. Google (GOOGL) agreed to buy cybersecurity firm Mandiant Inc. (NASDAQ:MNDT) for $23/share in March.

Mandiant press release (NASDAQ:MNDT): Q2 Non-GAAP EPS of -$0.13 misses by $0.03. Revenue of $137.92M (+21.1% Y/Y) beats by $6.45M. Given the announcement made on March 8, 2022, regarding the company’s entry into a definitive agreement to be acquired by Google LLC, Mandiant will not be providing financial guidance for the third quarter of 2022 or updated financial guidance for the full-year 2022. The company’s previously issued full-year 2022 financial guidance should no longer be relied upon. Due to the pending transaction with Google LLC, the company will not host a conference call in conjunction with this release.

Mandiant gains after getting DOJ antitrust approval for Google deal

Mandiant (NASDAQ:MNDT) gained 2.3% in after hours trading after the U.S. Dept. of Justice grated earlier termination of the waiting period in connection with Google's (NASDAQ:GOOGL)  $5.4 billion planned acquisition of the cybersecurity firm. On Friday, the DOJ granted early termination of the waiting period under the HSR Act with respect to the transaction, according to an 8-K filing. Mandiant (MNDT) and Google (GOOGL) continue to expect the closing of the deal to occur by the end of the year. The antitrust approval comes after Google (GOOGL) and Mandiant (MNDT) received a request for additional information from the DOJ in May. Dealreporter said in May that Google (GOOGL) doesn't believe that it will have to notify China or gain approval from the country's antitrust regulator at least partly due to Mandiant's (MNDT). Google (GOOGL) agreed to buy cybersecurity firm Mandiant Inc. (MNDT) for $23/share in March. Google was competing with Microsoft (MSFT) for the cybersecurity firm, though it reportedly walked away from the deal.

Mandiant is a company with an attractive industry focus and compelling growth in recent quarters. Mandiant is far from profitable, however. Near-term profitability is far from certain. Mandiant: Billions In Cash And Recurrent Revenue Justify A Higher Valuation

Mandiant, Inc. offers intelligence-based cybersecurity solutions, including threat intelligence, security validation, and automated alert investigation included in the Mandiant Advantage platform. The company also has a significant amount of cash to finance new marketing activities to attract new customers. It is very relevant to note that the company’s recurring revenue continues to grow at a CAGR of 24%. If the company signs new M&A agreements, hires new sales engineers, and develops new solutions, revenue growth will most likely trend north. If we use a WACC of 5.5%, the sum of the FCFs stands at $2.3 billion. I also used an EBITDA multiple of 25x, which would imply an IRR close to 20%-21.5%.

FireEye: Cheaply Valued Cybersecurity Stock

FireEye is divesting its hardware business. The ongoing business isn't so attractive, at least on the surface. But there's more here than meets the eye. FireEye is the only cybersecurity stock that hasn't rallied in the past three months. At 8x forward sales, together with a 10% share buyback program, this stock is worthwhile considering.

FireEye: Solid Company, Wrong Price

FireEye recently sold its product and service business to focus on the fast-growing Mandiant product line. According to my analysis, I think the company has much of its upside already priced in and is currently not a buy based on fundamentals. However, the current industry headwinds and positive sentiments could push the stock price to higher levels in the short term.
